LEGAL SPLIT SHEET

This Legal Split Sheet (the "Agreement") is made as of by and between Party A: with address and Party B: with address .

RECITALS

WHEREAS, the parties have collaborated to create a musical composition and/or sound recording currently entitled (the "Work"); and

WHEREAS, the parties intend to record, publish, exploit and administer the Work and desire to set forth the respective contributions, ownership allocations, and administration responsibilities for creators, performers, producers and other contributors as set forth below; and

WHEREAS, the parties wish to reduce to writing the relative percentages of ownership and the representations and warranties of each contributor to avoid later disputes.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows:

1. DEFINITIONS

"Contributor" means any natural person or entity listed in Section 2 who materially contributed to melody, lyrics, production, arrangement, performance or sound recording of the Work. "Ownership Share" means the percentage of the copyright interest in the Work allocated to a Contributor for purposes of writer's share, performing rights, and publishing, as applicable.

2. CONTRIBUTOR IDENTIFICATION AND PERCENTAGE ALLOCATION

The contributors to the Work and their respective roles and percentage allocations are set forth below. Each percentage is a representation of that Contributor's ownership interest in the composition and related publishing unless otherwise specified. The parties represent that the total writer ownership percentages shall equal 100% and the total publishing percentages (if separately allocated) shall equal 100%.

3. DETAILED CONTRIBUTIONS

Each Contributor listed above confirms the nature and extent of their contribution to the Work as described in the text boxes below. Descriptions will be used for registrations and administrative purposes.

4. COPYRIGHT REGISTRATION AND ADMINISTRATION

The parties agree that the copyright in the Work will be registered as follows. The designated administrator shall have authority to file registrations, collect publisher shares, and administer mechanical and synchronization licenses subject to the allocations below.

5. ROYALTIES, PAYMENTS AND ACCOUNTING

All royalties, fees and other income generated by the Work shall be allocated in accordance with the percentage allocations set forth in Section 2. Payments distributed by any collecting entity shall be allocated to each Contributor in accordance with their Ownership Share and any separate publishing allocations. Any advances shall be recouped from the revenues attributable to the payee's share in accordance with customary industry practice unless otherwise agreed in writing.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the full right, power and authority to enter into this Agreement and to perform its obligations; (b) to the best of its knowledge, the Work is original and does not infringe the rights of any third party; and (c) it has not assigned, pledged or encumbered any right in the Work inconsistent with the rights granted or acknowledged herein.

7. INDEMNIFICATION

Each Contributor shall indemnify and hold harmless the other party and contributors from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of the representations and warranties set forth in Section 6, provided that the indemnified party gives prompt written notice of any claim and cooperates in the defense and settlement of such claim.

8. NOTICES

Formal notices under this Agreement shall be in writing and delivered to the addresses set forth below. Notices are effective upon personal delivery, confirmed delivery by courier, or three (3) business days after deposit with the postal service by certified mail.

9. AMENDMENTS AND WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate or be construed as a waiver of any subsequent breach.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below. This Agreement constitutes the entire agreement among the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. MISCELLANEOUS

Any amounts payable pursuant to this Agreement shall be paid in lawful currency. The headings in this Agreement are for convenience only and shall not affect interpretation. Each party acknowledges that it has had a reasonable opportunity to consult counsel of its choice prior to signing.
