LEGAL SPOT AGREEMENT

This Legal Spot Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires discrete, limited-scope legal services on a spot or ad hoc basis for discrete matters as described herein; and

WHEREAS, Provider is duly authorized and qualified to provide the requested legal services and is willing to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire a concise engagement setting forth the scope, fees, confidentiality and termination terms applicable to such spot services.

NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree as follows:

1. ENGAGEMENT

Client engages Provider, and Provider accepts such engagement, to perform the discrete legal services described in Section 2 (the Services) on the terms set forth in this Agreement. Provider shall perform the Services in accordance with applicable rules of professional conduct and to the standard of care applicable to attorneys in the relevant jurisdiction.

2. SCOPE OF SERVICES

Provider will perform the Services specifically described below. Any work outside this description will require written amendment and may be subject to additional fees.

3. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Services or earlier termination as provided herein. Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to termination. Termination for cause shall be permitted for material breach that remains uncured after ten (10) days' written notice.

Upon termination, Client shall pay Provider for all Services performed and expenses reasonably incurred through the effective date of termination.

4. FEES, RETAINER AND PAYMENT

Client shall compensate Provider as set forth below. Provider shall render invoices monthly or upon completion of the Services, and payment is due within the number of days specified in the invoice.

Overdue amounts shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Client is responsible for reasonable costs of collection, including attorneys' fees.

5. EXPENSES

Client shall reimburse Provider for reasonable out-of-pocket expenses incurred in connection with the Services, including but not limited to filing fees, courier charges, court reporter fees, and travel expenses. Provider will seek Client's prior approval for any single expense expected to exceed $ .

6. CONFIDENTIALITY

Except as required by law, Provider shall keep confidential all information obtained from Client in the course of the engagement. Communications made for the purpose of obtaining legal advice shall be treated as privileged to the extent recognized by applicable law. The obligations of this Section survive termination of this Agreement.

7. CONFLICTS; REPRESENTATION

Provider represents that, to the best of its knowledge after reasonable inquiry, no conflict of interest prevents Provider from performing the Services. Client acknowledges that Provider may represent other clients with unrelated matters. If a conflict arises, Provider will promptly notify Client and take appropriate steps consistent with professional obligations.

8. WORK PRODUCT AND OWNERSHIP

All final work product prepared by Provider specifically for Client pursuant to this Agreement shall be delivered to Client. Provider retains common law copyright and other intellectual property rights in work product except to the extent expressly assigned in writing. Client may use delivered work product only for the purpose for which it was created.

9. INDEPENDENT CONTRACTOR

Provider is an independent contractor and not an employee of Client. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Provider shall be responsible for all taxes and benefits applicable to its personnel.

10. LIMITATION OF LIABILITY

Provider's liability for claims arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider under this Agreement. Neither party shall be liable for consequential, incidental, punitive or special damages, except for liability arising from wilful misconduct or gross negligence.

11. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, provided that the indemnified party gives prompt written notice and cooperates in the defense.

12. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or commercial courier to the addresses below or such other address as either party designates in writing.

13. AMENDMENT; WAIVER

No amendment, modification or waiver of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to exercise any right shall not constitute a waiver of that right.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of law principles.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the parties' original intent.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be deemed original signatures for all purposes.

18. ACKNOWLEDGMENTS

Each party represents and warrants that it has full capacity and authority to enter into this Agreement, that the person signing on its behalf is authorized to do so, and that the obligations herein are binding.
