LEGAL STAFF AGREEMENT

This Legal Staff Agreement (the Agreement) is made and entered into as of by and between with principal place of business at (Employer), and residing at (Staff).

RECITALS

WHEREAS, Employer operates a law practice and requires qualified legal staff to assist in the delivery of legal services and the administration of matters for clients; and

WHEREAS, Staff represents that Staff possesses the experience, skills, and professional qualifications necessary to perform the services described in this Agreement; and

WHEREAS, Employer desires to engage Staff and Staff desires to accept such engagement subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 Engagement. Employer hereby engages Staff to provide legal support services, and Staff accepts such engagement, on the terms set forth in this Agreement. Staff shall perform the services described in the Scope of Services below and any additional duties reasonably assigned by Employer consistent with Staff's position.

1.2 Professional Standards. Staff shall perform all services in a professional manner, in accordance with applicable rules of professional conduct, Employer policies, and the customary standards of the legal profession.

2. TERM

2.1 Term. The term of this Agreement shall commence on and shall continue until terminated as provided in Section 10.

2.2 Renewal or Fixed Term. If the parties intend a fixed term, indicate end date: . Absent a fixed term, the engagement shall be at-will and may be terminated in accordance with Section 10.

3. COMPENSATION AND EXPENSES

3.1 Compensation. Employer shall pay Staff compensation in the amount of per in accordance with Employer's payroll practices and applicable law.

3.2 Taxes and Withholding. Unless otherwise agreed in writing, Employer shall withhold and remit taxes and other deductions as required by applicable law for individuals classified as employees. If Staff is engaged as an independent contractor, Staff is solely responsible for all taxes and withholdings.

4. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

4.1 Confidential Information. Staff shall hold in strict confidence and shall not disclose to any person or entity any confidential or proprietary information of Employer or Employer's clients, including but not limited to client identities, case strategy, file contents, personal data, billing information, trade secrets, and internal policies (Confidential Information), except as necessary to perform duties under this Agreement or as required by law.

4.2 Attorney-Client Privilege. All communications and materials subject to attorney-client privilege or work-product protection belong to the client and Employer; Staff shall not waive, impair, or disclose privileged communications. If Staff receives a subpoena, court order, or other compulsory process seeking disclosure, Staff shall immediately notify Employer and cooperate in any effort by Employer to resist or limit such disclosure.

4.3 Return of Materials. Upon termination of employment or request by Employer, Staff shall promptly return to Employer all originals and copies of documents, files, electronic records, and other materials containing Confidential Information.

Staff acknowledges receipt of and agrees to comply with Employer's confidentiality and privilege policies.

5. CONFLICTS OF INTEREST

5.1 Disclosure. Staff shall promptly disclose to Employer any actual or potential conflict of interest known to Staff. Staff shall not undertake representation or work on matters adverse to Employer's clients without prior written authorization from Employer.

6. INTELLECTUAL PROPERTY AND WORK PRODUCT

6.1 Ownership. To the fullest extent permitted by law, Staff hereby assigns to Employer all right, title and interest in and to all work product, inventions, discoveries, improvements, documents, files, memoranda, pleadings, analyses, client lists, software, and other materials created or prepared by Staff in connection with the performance of duties under this Agreement (Work Product). Employer shall be the sole and exclusive owner of all such Work Product.

6.2 Moral Rights. To the extent applicable, Staff hereby waives and agrees not to assert any moral rights or other rights of attribution or integrity in respect of any Work Product.

7. NON-SOLICITATION

7.1 Covenant. During the Term and for following termination, Staff shall not directly or indirectly solicit or attempt to solicit any client of Employer for the purpose of providing legal services competitive with Employer in the geographic area of . This covenant is reasonable in scope and duration to protect Employer's legitimate business interests.

8. COMPLIANCE WITH LAW AND FIRM POLICIES

Staff shall comply with all applicable laws, rules of professional responsibility, and Employer policies including conflict-check procedures, timekeeping, billing, client-intake, document retention, and cybersecurity protocols. Employer may modify policies from time to time; Employer will notify Staff of material changes.

9. TERMINATION

9.1 Termination for Cause. Employer may terminate this Agreement immediately for cause, including but not limited to material breach, gross misconduct, violation of professional rules, dishonesty, willful neglect, or unauthorized disclosure of Confidential Information.

9.2 Termination Without Cause. Either party may terminate this Agreement without cause upon prior written notice, unless otherwise provided by law.

9.3 Effect of Termination. Upon termination, Employer shall pay Staff accrued but unpaid compensation, any earned but unpaid reimbursements, and any other amounts required by applicable law. Staff shall return all Employer and client property and shall cooperate in an orderly transition of active matters.

10. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, prepaid courier, or certified mail to the addresses below or to such other address as either party may designate by notice.

11. REPRESENTATIONS AND WARRANTIES

Staff represents and warrants that Staff has the right to enter into this Agreement, that the performance of Staff's duties will not violate any other agreement, and that Staff is not subject to any restriction that would impair performance. Employer represents that it has authority to enter this Agreement.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall constitute an original.

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

13.2 Severability. If any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be severed and the remainder of the Agreement shall continue in full force and effect.

13.3 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations.

14. MISCELLANEOUS

14.1 Remedies. The parties agree that any breach of confidentiality, privilege, or assignment obligations may cause irreparable harm for which monetary damages may be inadequate; Employer shall be entitled to injunctive relief in addition to other remedies.

14.2 Successors. This Agreement shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns.
