RECITALS

NOW THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the parties agree as follows:

1. POSITION AND DUTIES

1.1 Position. Employer hereby engages Employee in the capacity of . Employee shall perform the duties customarily associated with that position and such other duties as Employer may reasonably assign.

1.2 Professional Standards. Employee shall at all times perform duties in accordance with applicable rules of professional conduct and ethical obligations, including duties relating to attorney-client privilege and client confidentiality.

2.1 Term. The employment relationship shall commence on and shall continue until terminated in accordance with this Agreement.

4.1 Confidential Information. Employee acknowledges that in the course of employment Employee will have access to confidential information, including client identities, case strategies, work product, privileged communications, billing records, and other nonpublic information ("Confidential Information"). Employee shall not disclose, use, or permit the use of Confidential Information except as authorized by Employer or as required by law.

4.2 Attorney-Client Privilege. Employee shall take all reasonable measures to preserve attorney-client privilege and shall not waive privilege or disclose privileged communications without Employer's written direction.

4.3 Survival. The obligations in this Section 4 survive termination of this Agreement for an indefinite period to the extent required to preserve client confidentiality and privilege.

5. INTELLECTUAL PROPERTY AND WORK PRODUCT

5.1 Assignment. Employee hereby assigns to Employer all rights, title and interest in and to all work product, inventions, know-how, discoveries, improvements, and other intellectual property conceived, developed, or reduced to practice by Employee in connection with Employee's engagement (collectively, "Work Product").

5.2 Assistance. Employee shall execute documents and take such further actions as may be reasonably requested by Employer to evidence or effectuate such assignment.

6. NON-SOLICITATION

6.1 Restriction. During employment and for a period of months following termination, Employee shall not directly solicit or induce any client of Employer for whom Employee provided services to terminate or materially alter the client's relationship with Employer. This restriction shall be limited to matters and clients with which Employee had material contact during the last twelve months of employment.

7. CONFLICTS OF INTEREST AND REPRESENTATIONS

7.1 Representations. Employee represents that Employee's performance will not violate any duty owed to a former employer or third party, and that Employee will disclose any potential conflicts of interest promptly to Employer.

7.2 Duty to Disclose. Employee shall promptly disclose any actual or potential conflict of interest, including relationships with opposing parties, witnesses, or prospective clients that could materially affect Employee's duties.

8. RECORDS, FILES, AND RETURN OF MATERIALS

8.1 Ownership. All client files, documents, electronic records, and other materials prepared or obtained in the course of employment are the property of Employer. Upon termination, Employee shall promptly return all Employer and client materials in Employee's possession.

9. INDEMNIFICATION AND INSURANCE

9.1 Indemnification. Employee shall indemnify and hold Employer harmless from and against any losses, liabilities, damages, or expenses resulting from Employee's willful misconduct, gross negligence, or breach of this Agreement.

9.2 Insurance. Employee acknowledges that Employer maintains professional liability insurance for covered matters; however, Employee remains responsible for personal acts or omissions outside the scope of employment.

10. NOTICES

Notices shall be in writing and shall be deemed delivered when delivered personally, by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, to the addresses set forth above or such other address as a party designates by notice.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties.

11.2 Waiver. A waiver of any breach or default hereunder shall not be deemed a waiver of any subsequent breach or default.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
