LEGAL STAFF WAIVER FORM

This Legal Staff Waiver (the "Waiver") is entered into on Effective Date: by and between Employer Name: ("Employer") and Staff Name: ("Staff").

RECITALS

WHEREAS, Employer engages Staff to perform legal support duties, which may include access to confidential client information, case materials, and other privileged information in the course of Staff's duties; and

WHEREAS, Staff has agreed to perform such duties and has been provided with consideration described below; and

WHEREAS, the parties desire to set forth the terms under which Staff releases certain claims and acknowledges obligations with respect to confidentiality, return of materials, and assumption of risk.

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration described below, the sufficiency of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Waiver, "Confidential Information" means all information of a non-public nature disclosed to Staff or to which Staff gains access in the course of employment or engagement, including but not limited to client files, pleadings, strategy, client communications, investigative reports, billing records, and any material subject to attorney-client or work product protection.

2. WAIVER AND RELEASE OF CLAIMS

Staff hereby knowingly and voluntarily releases and forever discharges Employer and its officers, directors, employees, agents, affiliates, successors and assigns (collectively, the "Released Parties") from any and all claims, demands, causes of action, liabilities, obligations, and damages, whether known or unknown, arising out of or related to Staff's performance of duties, access to client information, or any alleged negligence, breach of duty, or other act or omission occurring prior to the Effective Date, except for claims that cannot be waived as a matter of law.

This waiver does not apply to (i) claims for wages or benefits that cannot be waived by law, (ii) obligations arising from Employer's intentional misconduct or gross negligence occurring after the Effective Date, or (iii) statutory claims that are expressly excluded by applicable law.

3. CONFIDENTIALITY AND NON-DISCLOSURE

Staff acknowledges a continuing duty to maintain the confidentiality of Confidential Information and agrees that Staff will not disclose, use, copy, or disseminate Confidential Information except as authorized by Employer or required by law. Staff shall take all reasonable measures to prevent unauthorized disclosure and shall immediately notify Employer of any suspected breach.

4. RETURN OF MATERIALS

Upon termination of Staff's engagement or upon Employer's request, Staff shall promptly return all documents, electronic files, devices, keys, and any other property of Employer or clients, including any copies thereof, and shall certify in writing that all such materials have been returned or destroyed.

5. ASSUMPTION OF RISK

Staff acknowledges that certain duties may involve sensitive information or exposure to stress and that Staff assumes any ordinary occupational risks associated with the performance of those duties. Staff releases Employer from liability for any injury, emotional distress, or other loss arising from ordinary performance of assigned duties, except to the extent such loss is the result of Employer's gross negligence or willful misconduct.

6. INDEMNIFICATION

To the fullest extent permitted by law, Staff agrees to indemnify, defend and hold harmless the Released Parties from and against any losses, claims, damages, liabilities or expenses (including reasonable attorneys' fees) arising out of Staff's breach of this Waiver, unauthorized disclosure of Confidential Information, or negligent or intentional acts or omissions by Staff.

7. NO ADMISSION

The execution of this Waiver is not and shall not be construed as an admission of liability or wrongdoing by any party, and no party admits any liability by entering into this Waiver.

8. REMEDIES AND ENFORCEMENT

Employer shall be entitled to seek injunctive or equitable relief to prevent or remedy breaches of confidentiality or other material breaches of this Waiver. Such remedies shall be cumulative and in addition to any other remedies available at law or in equity.

9. NOTICES

All notices required or permitted under this Waiver shall be in writing and shall be deemed given when delivered personally, sent by certified mail, or sent by nationally recognized overnight courier to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section.

10. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Waiver shall be effective unless in writing and signed by both parties. The failure of any party to enforce any provision hereof shall not be construed as a waiver of that provision or any other provision.

11. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the State selected by the parties below without regard to principles of conflicts of law.

12. ENTIRE AGREEMENT

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

13. SEVERABILITY

If any provision of this Waiver is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

14. COUNTERPARTS

This Waiver may be executed in counterparts, each of which will be deemed an original, and all of which together will constitute one and the same instrument. Facsimile or electronic signatures shall be deemed originals for all purposes.
