LEGAL STANDARD FORM

This Legal Standard Form (the "Agreement") is made and entered into as of Effective Date: by and between Party A Name: with principal address at and Party B Name: with principal address at .

RECITALS

WHEREAS, Party A is engaged in the business of providing certain goods and/or services as described herein; and

WHEREAS, Party B desires to retain Party A to perform such goods and/or services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to define their respective rights and obligations with respect to the subject matter hereof.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Confidential Information" means all non-public business, technical, financial and other information disclosed by one party to the other, whether disclosed orally, visually or in writing. "Deliverables" means the tangible or intangible results to be produced by Party A as described in Section 3.

2. TERM

The term of this Agreement shall commence on the Effective Date specified above and shall continue for a period of unless earlier terminated in accordance with Section 9. The parties may extend the term by written amendment executed by authorized representatives of both parties.

3. SCOPE OF SERVICES / SUBJECT MATTER

Party A shall perform the Services in a timely and professional manner in accordance with industry standards. Party A shall provide all personnel, equipment, and materials necessary to perform the Services unless otherwise specified in writing.

4. COMPENSATION

Unless otherwise agreed in writing, Party B shall pay Party A the Fees in accordance with the payment schedule set forth herein. All amounts due under this Agreement are exclusive of taxes; Party B shall be responsible for all applicable taxes, except taxes based on Party A's net income.

5. CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any Confidential Information received from the other party, and shall use such Confidential Information only for the purposes of performing its obligations under this Agreement. The obligations of confidentiality shall not apply to information that (a) is or becomes generally available to the public other than by breach of this Agreement, (b) was in the receiving party's possession prior to disclosure, or (c) is required to be disclosed by law, provided that the disclosing party is given prompt written notice and an opportunity to seek protective relief.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that (a) it has the full corporate or individual power and authority to enter into and perform this Agreement, (b) its execution and performance of this Agreement will not violate any agreement or law applicable to it, and (c) the person signing this Agreement on its behalf is duly authorized to do so.

7. INDEMNIFICATION

Each party (the "Indemnitor") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents (collectively, the "Indemnitees") from and against any and all third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Indemnitor's breach of this Agreement, negligence, willful misconduct or violation of applicable law.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY PARTY B TO PARTY A UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. TERMINATION

Either party may terminate this Agreement upon thirty (30) days' prior written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period. In addition, either party may terminate immediately for insolvency, bankruptcy, or appointment of a receiver for the other party. Upon termination, Party B shall pay Party A for all Services performed and deliverables completed through the effective date of termination.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, by certified mail, return receipt requested, or by nationally recognized overnight courier to the addresses set forth below or to such other address as either party may designate by notice to the other.

11. ASSIGNMENT

Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign this Agreement to a successor by merger or sale of substantially all of its assets without such consent.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to principles of conflicts of law. The parties consent to the exclusive jurisdiction of the state and federal courts located therein for the resolution of disputes.

13. ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the parties' intent.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any right under this Agreement shall be effective unless in writing signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

16. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. The parties acknowledge that they have had the opportunity to consult legal counsel and that any rule of construction requiring interpretation against the drafter shall not apply.
