The acceptance is limited to those obligations specifically identified and does not constitute a waiver or amendment of any other provisions of the Referenced Agreement unless expressly stated.

2. REPRESENTATIONS AND WARRANTIES

2.1 Each Party represents and warrants that it has full corporate or individual power and authority to enter into this Statement and to carry out its obligations hereunder, and that this Statement constitutes a valid and binding obligation enforceable in accordance with its terms.

2.2 The accepting Party further represents that its acceptance is not induced by fraud, duress, mistake, or misrepresentation and that the person executing this Statement on its behalf is duly authorized.

3. CONDITIONS PRECEDENT

3.1 This Statement and the obligations set forth herein shall become effective upon the Effective Date stated above and upon satisfaction of any conditions precedent identified by the Parties below.

6.1 The Party accepting the obligations shall indemnify, defend and hold harmless the other Party from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the accepting Party's breach of this Statement or its negligent or willful performance of the accepted obligations.

7. LIMITATION OF LIABILITY

7.1 Except for liability arising from a Party's gross negligence, willful misconduct, or breach of Section 5 (Confidentiality) or Section 6 (Indemnity), neither Party shall be liable to the other for consequential, incidental, special or punitive damages.

8. NOTICES

8.1 All notices, requests, consents and other communications required or permitted under this Statement shall be in writing and addressed to the Parties at the addresses set forth below or at such other address as either Party may specify in writing.

9. AMENDMENTS AND WAIVER

9.1 No amendment, modification or waiver of any provision of this Statement shall be effective unless in writing and signed by both Parties. No waiver by either Party of a breach shall be deemed a waiver of any subsequent breach.

10. GOVERNING LAW

10.1 This Statement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.
