NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Assurances" means the representations, warranties, covenants and certifications expressly set forth in Section 2 of this Statement and any attachments expressly incorporated herein.

1.2 Other capitalized terms used in this Statement have the meanings assigned to them in the underlying agreement between the parties, if any, or otherwise shall be given their ordinary meaning at law.

3.1 Assuring Party covenants that it will: (a) maintain accurate records supporting the Assurances and permit Recipient Party or its representatives to inspect such records upon reasonable prior notice during normal business hours; (b) promptly notify Recipient Party in writing of any event or circumstance that would render any Assurances untrue or misleading; and (c) take all commercially reasonable steps to cure any breach of the Assurances within the time periods reasonably requested by Recipient Party.

6. LIMITATION OF LIABILITY

10. AMENDMENT; WAIVER; COUNTERPARTS

If any provision of this Statement is held to be invalid or unenforceable, the remainder shall continue in full force and effect.

12. MISCELLANEOUS

The parties acknowledge that Recipient Party is relying upon the Assurances in determining to proceed with the underlying transaction or relationship, and that monetary damages may be an insufficient remedy for breach of the Assurances; accordingly, Recipient Party shall be entitled to seek injunctive relief in addition to other available remedies.

What a Legal Statement of Assurances Is and When it Applies

A Legal Statement of Assurances is a written declaration used to confirm facts, compliance representations, or procedural guarantees made by an individual or organization. It typically identifies the parties, states the assertions being made, specifies the effective date, and includes signatures and any required authentication. These documents are used in contracting, regulatory reporting, grant applications, and project closeouts where a formal assurance of accuracy, compliance, or authorization is required. The form may be notarized or witnessed depending on jurisdictional or industry requirements and can be executed electronically when ESIGN/UETA rules permit.

Why a Clear Statement of Assurances Benefits Your Records

A concise Legal Statement of Assurances clarifies responsibilities, creates an auditable record of an assertion, and reduces disputes by documenting what was promised and by whom. Properly completed statements support regulatory compliance, internal controls, and risk management while preserving admissible evidence for audits or legal review.

Why a Clear Statement of Assurances Benefits Your Records

Stepwise process to complete and finalize the statement

Follow these sequential steps to prepare, authenticate, and retain a legally defensible statement.

  • 01
Draft: Prepare precise assurance language and identify parties.
  • 02
Verify: Confirm names, titles, and authority to sign.
  • 03
Authenticate: Notarize or witness if required by law or policy.
  • 04
Store: Retain an executed copy with audit metadata.

Who typically completes a Legal Statement of Assurances

Use is common where a signed, attributable record reduces legal uncertainty and supports internal or external audit requirements.

  • Corporate officers certifying financial or regulatory disclosures.
  • Project managers confirming milestone completion for contract closeout.
  • Grant recipients assuring compliance with award terms.

Typical signers and their roles

Company Officer

A senior executive (CFO, CEO, general counsel) who has authority to bind the organization and confirm corporate compliance. Their signature is often required for regulatory filings and certifications.

Project Lead

An operational manager or contract lead authorized to attest to project milestones, deliverable acceptance, or completion of contractual conditions, often used in procurement and construction contexts.

Core elements to include in a professional statement

Ensure the document contains standard sections so it is clear, enforceable, and auditable.

Title

A clear title (Legal Statement of Assurances) that identifies the document’s purpose and distinguishes it from affidavits or warranties.

Parties

Full legal names and contact details for each party, including the signer’s capacity and whether they sign on behalf of an organization.

Assurances

Itemized, specific statements of fact or compliance the signer is affirming, avoiding broad or ambiguous language.

Effective Date

A clearly stated MM/DD/YYYY effective date that governs when the assurances take effect and any related deadlines begin.

Authentication

Signature lines, dates, and any required notarization or witnessing language; include method of execution (electronic or wet-signature).

Retention

Recordkeeping instructions, including where the executed copy will be stored and who maintains the audit trail.

Security and compliance data points to record

Encryption: TLS 1.2/1.3 in transit
Data at rest: AES-256 encryption
Audit trail: IP, timestamp, action log
HIPAA posture: BAA available
Standards: SOC 2 Type II
Regulatory: ESIGN and UETA compliant

Primary legal risks and financial penalties to avoid

Incorrect tax reporting: Backup withholding 24% risk
Late information returns: $60–$330 per form
I‑9 errors: $281–$2,789 per violation
Intentional misstatement: $660+ per form
HIPAA violations: Civil monetary penalties
Invalid authentication: Document unenforceable

Common preparation mistakes to avoid

  • Using imprecise language that creates ambiguity about the assurance’s scope and obligations.
  • Failing to confirm signer authority or corporate capacity, which can render assurances void.
  • Omitting effective dates, leading to disputes about when obligations started or deadlines ran.
  • Not preserving an auditable copy with signature metadata (IP, timestamp, certificate).

Typical electronic execution workflow

Electronic completion follows predictable stages; each step preserves evidence needed for legal validity.

  • Upload: Sender uploads the prepared statement document.
  • Place fields: Signature, date, and identification fields are added.
  • Authenticate signer: Email, SMS, or stronger methods verify identity.
  • Complete and record: Signed copy and audit trail are generated and stored.

Recommended configuration for high-integrity e-execution

Configure fields and authentication to match the assurance’s legal sensitivity and internal policy.

Field Configuration
Signature Type Electronic signature with audit trail
Authentication Email+SMS or ID verification
Notary/RON Enable when jurisdiction requires notarization
Storage Retain in secure, access‑controlled repository

Technical and integration considerations

Ensure the chosen platform supports audit trails, encryption, and any industry‑specific addenda required for compliance.

  • Integrations: Salesforce, NetSuite, Google Workspace support
  • File formats: PDF, DOCX, HTML accepted
  • Authentication: SMS, KBA, or ID credential checks

Key timing considerations and typical deadlines

Observe internal and external timing constraints to protect rights, meet reporting obligations, and avoid penalties.

Draft itemized assurances rather than broad commitments; specificity reduces interpretation disputes and limits unintended obligations.
Confirm signer authority
Verify the signer’s title and capacity; when an organization signs, ensure evidence of corporate authorization is present.
Record authentication metadata
Preserve IP, timestamp, and authentication method as part of the record to support attribution and integrity claims.
Match names and IDs
Ensure name spelling and entity identifiers match government records to prevent verification failures or regulatory complications.
