What a Legal Statement of Authority Is and When It’s Used

A Legal Statement of Authority is a written declaration identifying the individual(s) authorized to act, sign, or bind an organization for specific transactions or contract types. It documents scope, limitations, and effective dates so counterparties, banks, vendors, and government agencies can verify who may execute agreements on the entity’s behalf. The statement is commonly attached to contracts, vendor onboarding packets, bank account forms, and procurement records to reduce execution risk and streamline verification when parties rely on a signer’s legal capacity.

Why a Clear Statement of Authority Matters

A concise Legal Statement of Authority reduces disputes about signatory power, speeds transaction clearance, and helps third parties meet compliance checks. It creates an auditable record of delegated authority that can prevent rejected transactions and administrative delays when banks, counterparties, or regulators request proof of authorization.

Why a Clear Statement of Authority Matters

Who Typically Prepares and Relies on This Document

Keep an updated Statement of Authority on file for counterparties and internal teams; review it after officer changes or major corporate events.

  • Corporate finance and treasury teams verifying signers for bank and wire authorizations.
  • Procurement and vendor management confirming who can sign purchase orders or change orders.
  • Legal and compliance units attaching authority statements to contract signatures to reduce execution risk.

Key Signatory Roles

Company CEO

The chief executive is often listed as an automatic signer for high-value contracts and bank authorizations. Identification and board minute references should be included to evidence appointment and scope of authority.

Authorized Agent

An appointed agent or officer (for example, CFO or Controller) may hold limited or transaction-specific authority. The statement should specify limits, effective dates, and any required co-signers.

Essential Elements to Include in a Professional Statement

A complete Legal Statement of Authority is short but precise: it names the entity, identifies signers, sets limits and dates, and references supporting corporate records or resolutions.

Entity Identification

Full legal name, jurisdiction of formation, and any DBA names so reviewers can match it to public records and contracts.

Authorized Signers

List each signer by full name, title, and the specific authorities granted, including monetary limits and document types.

Scope Limits

Specify transaction caps, whether signatures require co-signers, and whether authority is perpetual or time-limited.

Effective Dates

State the effective date and any automatic expiration or review date to avoid stale authority issues.

Supporting Proof

Reference board resolutions, meeting minutes, or officer certificates that establish the delegation and where those records are kept.

Notarization Clause

If required by recipient or state law, include a notary block or statement about remote notarization allowances.

Required Data Elements at a Glance

Entity Name: Legal name
Formation State: Jurisdiction
Signer Full Name: As on ID
Signer Title: Official role
Authority Scope: Transaction limits
Effective Date: MM/DD/YYYY

Step-by-Step: Completing and Verifying the Statement

Follow these steps to create a usable Statement of Authority and ensure third-party acceptance.

  • 01
Draft: Populate entity and signer fields precisely.
  • 02
Attach Proof: Link or attach board resolution or officer certificate.
  • 03
Authenticate: Notarize or attach corporate seal if required.
  • 04
Distribute: Send to banks, vendors, and internal teams for records.

How to Configure an Online Signing Workflow

Set up a digital workflow that matches your verification requirements and keeps an audit trail for every signer.

Field Configuration
Signer Identity Require email + SMS code or KBA per recipient risk level
Attachments Attach board resolution and ID scans as required documents
Notarization Enable RON or require in-person notary where recipient demands
Retention Set automated retention and export options for audit trail

Typical Routing: From Draft to Verified Record

A clear routing path ensures the Statement is completed, authenticated, and stored with traceability.

  • Prepare Document: Draft statement and attach supporting records
  • Request Signatures: Send to authorized signers with required authentication
  • Notarize if Needed: Complete remote or in-person notarization session
  • Store Copy: Save signed PDF and audit trail in records

Digital Signing and Platform Considerations

Ensure the chosen platform supports retention, export of audit logs, and any required certifications (HIPAA BAA or 21 CFR Part 11) for regulated transactions.

  • Authentication: Email, SMS, or KBA
  • Document Formats: PDF, DOCX supported
  • Integrations: CRM and document storage

Timing: When to Create and Provide the Statement

Timely issuance avoids transaction delays; prepare or update the Statement of Authority whenever officer roles change or a counterparty requests verification.

On Officer Change:

Provide updated statement immediately after board appointment

Bank Setup:

Supply statement when opening accounts or changing signers

Vendor Onboarding:

Attach statement during vendor contract execution

Regulatory Request:

Produce promptly when requested by regulators

Contract Execution:

Attach to high-value contracts to avoid acceptance delays

Common Preparation Mistakes to Avoid

  • Using ambiguous language about scope (for example, 'authorized as needed') that leaves monetary limits undefined and leads to rejection by banks.
  • Failing to attach or reference the supporting board resolution or minutes, which prevents counterparties from verifying delegated authority.
  • Listing signer names without titles or mismatched names that do not match IDs, causing identity verification failures during notarization or bank onboarding.
  • Not updating the statement after officer changes, which creates stale authority and increases legal and financial risk for transactions.

Key Risks and Potential Consequences

Contract Voidance: Third parties may treat signatures as unauthorized
Financial Exposure: Unauthorized actions can create personal liability
Bank Restrictions: Banks may freeze accounts pending verification
Regulatory Scrutiny: Noncompliance can trigger audits
Operational Delays: Transaction processing can stall
Tax Withholding: Missing documentation may cause withholding

Real-World Examples of Use and Results

These short examples show how organizations use Statements of Authority to speed transactions and reduce ambiguity.

Optica Ventures (Brian Fitzgibbons)

Optica attached a formal Statement of Authority to vendor contracts to standardize signers.

  • It clarified who could approve payments.
  • The result reduced vendor onboarding questions and removed repeated requests for board minutes when counterparties required verification.

Martin Properties (Tim Martin)

Martin Properties used a notarized Statement of Authority for property closings and lease signings.

  • It listed delegated property managers with monetary caps.
  • This prevented delays at escrow and allowed associates to close routine leases without board reauthorization.
