RECITALS

1. Definitions

For purposes of this Statement, "Applicable Laws" means all statutes, regulations, rules, orders and binding guidance of any governmental authority applicable to the activities governed by this Statement, including without limitation laws related to anti-bribery and anti-corruption, data protection, export controls, environmental protection and occupancy or safety standards.

2. Representations and Warranties

Each party represents and warrants that it has the corporate power and authority to enter into this Statement and to perform its obligations hereunder. Party A hereby represents and warrants that, to the best of its knowledge after reasonable inquiry, it is in compliance with Applicable Laws material to the performance of the parties' business relationship as of the Effective Date.

3. Scope of Compliance

Party A shall maintain and implement policies, procedures and internal controls reasonably designed to ensure compliance with Applicable Laws (the "Compliance Program"). The Compliance Program shall address at a minimum the following areas:

- Anti-bribery and anti-corruption; data privacy and security; export controls; environmental and health and safety obligations; and record-keeping and reporting appropriate to the parties' activities.

4. Certifications and Affirmations

Party A certifies, and the authorized signatory will attest upon execution, that the information set forth in this Statement is true and correct in all material respects and that Party A will promptly notify Party B of any material change in its compliance posture.

5. Reporting and Notification Obligations

Party A shall notify Party B in writing within five (5) business days of becoming aware of any event, investigation, enforcement action or internal finding that would reasonably be expected to constitute a material breach of the representations contained in Section 2 or a material violation of Applicable Laws that affects the subject matter of the parties' relationship.

6. Records, Audit and Cooperation

Party A shall maintain records reasonably necessary to demonstrate compliance with this Statement for a period of no less than from the date of the related activity. Upon reasonable notice, Party A shall cooperate with Party B and permit, subject to confidentiality protections, audits by Party B or its authorized representatives to verify compliance.

7. Remedial Action and Remedies

If Party A fails to comply with any material obligation under this Statement, Party A shall promptly implement corrective measures satisfactory to Party B. Party B's rights and remedies for breach of this Statement shall be cumulative and may include suspension of services, withholding of payments, termination of agreements and claims for indemnification and damages.

8. Indemnification

Party A shall indemnify, defend and hold harmless Party B and its officers, directors and employees from and against any losses, fines, penalties, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Party A's breach of this Statement or its material violation of Applicable Laws.

9. Confidentiality

Information exchanged under this Statement that is identified as confidential or reasonably understood to be confidential shall be treated in accordance with the parties' existing confidentiality obligations. Disclosures required by law shall be made only after providing prompt notice to the other party where permitted.

10. Term and Termination

This Statement shall remain in effect from the Effective Date until terminated by either party upon thirty (30) days' prior written notice to the other party. Termination shall not relieve either party of obligations incurred prior to the effective date of termination, including any obligations to remedy breaches or to indemnify.
