5. CONFIDENTIALITY

Except as required by law, court order, or with the prior written consent of the other party, the existence and terms of this Statement and any attachments shall be treated as confidential and shall not be disclosed to third parties. Notwithstanding the foregoing, Recipient may disclose this Statement to its legal counsel, auditors, insurers, or as reasonably necessary to effectuate its rights hereunder, provided each such recipient is bound to maintain the confidentiality of this Statement.
