If "Other" is selected, provide particulars:

The Statement Issuer represents that, to the best of its knowledge, the Asserted Rights are valid and in effect as of the Effective Date and that it is authorized to assert or disclose those rights. These representations are limited to the facts known to the Statement Issuer at the time of signing and do not constitute a guarantee of absolute ownership.

3. Limitations and Reservations

Nothing in this Statement shall be construed as a transfer, license, waiver, or assignment of any Asserted Rights unless an express written assignment or license is executed by the Statement Issuer. The Statement Issuer reserves all rights not expressly granted herein.

The Parties acknowledge that the Statement is declaratory in nature and that third parties may dispute, challenge or seek to invalidate any asserted right. The Statement Issuer shall not be estopped from asserting, defending or modifying its position in subsequent proceedings.

The prevailing Party in any action to enforce this Statement shall be entitled to recover reasonable attorneys' fees, costs and disbursements from the non-prevailing Party.

6. Representations and Warranties

Statement Issuer represents and warrants that: (a) it has the authority to execute and deliver this Statement; (b) the statements of fact contained herein are true and correct to the best of its knowledge as of the Effective Date; and (c) it has not granted any exclusive license or assignment that would render the asserted rights unenforceable in whole or in part, except as disclosed in Writing of Record:

7. Confidentiality

Unless otherwise agreed in a separate written agreement, the Parties agree that any non-public information disclosed in connection with this Statement that is designated as confidential shall be held in confidence and shall not be used except for purposes consistent with this Statement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving Party or is independently developed by the receiving Party.

8. Notices

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and delivered to the Parties at the addresses set forth below (or to such other address as either Party may specify in writing).

11. Governing Law

This Statement shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to conflict of law principles.

12. Entire Agreement

This Statement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter.

What the Legal Statement of Rights Is and When It Applies

A Legal Statement of Rights is a written declaration that sets out the specific rights, limitations, and responsibilities that apply to one or more parties in a contractual or regulatory context. It documents who holds particular legal rights (for example intellectual property, usage rights, or consent to data processing), the scope and duration of those rights, and any conditions or reservations. Organizations use this statement to create a clear, reproducible record that supports compliance, dispute resolution, and downstream enforcement when rights are asserted or transferred.

Why a Clear Legal Statement of Rights Matters (and Its Legal Standing)

A clear Legal Statement of Rights reduces ambiguity, supports enforcement, and documents consent or transfer of rights. Electronic execution is legally recognized under the federal ESIGN Act (15 U.S.C. §7001) and UETA where adopted, provided intent, consent, attribution, and retention requirements are satisfied.

Who Typically Prepares and Signs This Statement

Properly prepared statements reduce later disputes and make it easier for downstream systems and auditors to verify rights and permissions.

  • Real estate agents and closing teams preparing property rights disclosures and transfer language.
  • Healthcare providers documenting patient consent for data use or limited authorizations.
  • Corporate legal or IP teams formalizing ownership and license terms during transactions.

Who Can Sign and Why

Company Officer

An authorized officer (CEO, CFO, or delegated signatory) has corporate authority to bind the organization to rights transfers and warranties. Confirm board or internal delegation if required by corporate bylaws.

Legal Representative

An in-house counsel or outside attorney signing on behalf of a client must have written authorization or a power of attorney; verify scope to avoid later challenges to authority.

Core Elements to Include in a Professional Statement of Rights

A robust statement should be concise but complete, covering parties, scope, duration, limitations, remedies, and execution details to ensure clarity and enforceability.

Parties

Rights Clauses

Precise description of the right being granted, reserved, or transferred, including limitations, sublicensing rules, and permitted uses.

Scope & Territory

Geographic and field-of-use limitations; define whether rights are exclusive or nonexclusive and whether sublicensing is allowed.

Effective Date

The start date for rights and obligations; if conditional, state triggering events that cause the date to take effect.

Remedies

Remedies, indemnities, or warranty disclaimers tied to the statement; clarify monetary caps or injunctive relief if applicable.

Signatures

Signature blocks with printed names, titles, dates, and witness or notary fields where required for validity.

Common Preparation Errors to Avoid

  • Using informal or colloquial party names instead of precise legal entity names, which creates ambiguity and delays enforcement or verification.
  • Failing to state the geographic scope or permitted uses clearly, leaving terms like 'worldwide' or 'all uses' undefined in practice.
  • Omitting signatory titles or failing to attach proof of delegation or board resolution when corporate authority is required.
  • Skipping witness or notary fields when a jurisdiction or the parties’ internal policy requires them, creating potential invalidity.

Risks and Consequences of an Incomplete or Incorrect Statement

Unenforceability: Contract may be challenged in court
Statutory Exception: Certain documents (wills) cannot be e-signed
Financial Exposure: Liability for unauthorized transfers
Filing Rejection: Agency may refuse record
Notary Defect: Incomplete notary invalidates act
Record Loss: Poor retention harms proofs
