LEGAL STATUTE TEMPLATE

This General Business Agreement (the Agreement) is made effective as of the Effective Date set forth below and is entered into by and between the parties identified herein. This instrument creates binding legal obligations between the parties and each party represents that it has the authority to enter into this Agreement.

WHEREAS, the Client desires to retain the Provider to perform certain services relating to the Client's business operations and statutory compliance as further described in this Agreement; and

WHEREAS, the Provider represents that it has the requisite experience, qualifications, and personnel to perform the services described in this Agreement and will perform such services in accordance with applicable law and generally accepted professional standards; and

WHEREAS, the parties desire to set forth their agreement with respect to the scope of work, compensation, confidentiality, and other terms and conditions under which the Provider will perform services for the Client.

Scope of Work

Provider shall perform the services and deliverables described in this Section and any attachments. Provider shall perform services in a professional manner consistent with industry standards and applicable statutes and regulations.

Payment Terms

In consideration for the services performed by Provider, Client shall pay Provider the fees specified below. Unless otherwise agreed in writing, fees are exclusive of taxes, and Client shall be responsible for all taxes due as required by law.

All undisputed amounts are due within the time period specified in the Payment Schedule. Overdue amounts shall bear interest as set forth in the Late Payment Fee provision and the prevailing lawful rate if the specified rate is unenforceable. Client shall be responsible for reasonable costs of collection, including attorneys' fees and court costs.

Term and Termination

This Agreement shall commence on the Start Date and continue in effect until the End Date, unless earlier terminated in accordance with this Section. Either party may terminate this Agreement for material breach by the other party if the breach remains uncured after the notice and cure period set forth below.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective date of termination. Termination shall not relieve either party of obligations that by their nature survive termination, including indemnities and confidentiality obligations.

Confidentiality

Each party (the Receiving Party) shall keep confidential all non-public information disclosed by the other party (the Disclosing Party) that is marked confidential or reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). The Receiving Party shall not disclose Confidential Information except to employees, agents, or subcontractors on a need-to-know basis who are subject to confidentiality obligations no less protective than those in this Agreement.

The obligations in this Confidentiality section do not apply to information which (a) is or becomes publicly available through no breach by the Receiving Party, (b) is rightfully received from a third party without breach of any obligation of confidentiality, or (c) is independently developed without use of Confidential Information. Disclosure compelled by law is permitted provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in any lawful effort to limit disclosure.

Indemnification and Liability

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any action arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in that state, and each party consents to personal jurisdiction and venue therein.

Notices

All notices or communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice. Notice is effective upon receipt.

Entire Agreement; Amendment; Severability

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, that provision shall be interpreted to effect the parties' intent, and the remaining provisions shall remain in full force and effect.

By signing below, each party certifies that the signatory is authorized to execute this Agreement on behalf of the party, that the party has read and understands this Agreement, and that the party agrees to be bound by its terms.
