RECITALS

WHEREAS the Creditor is owed by the Debtor the principal sum of together with accrued interest and costs (the "Debt") arising from the transactions and invoices described below;

WHEREAS the Debt arose on or about in respect of the goods, services, and/or obligations set forth in the particulars of claim;

WHEREAS the Creditor requires payment of the Debt and issues this statutory demand pursuant to the applicable insolvency and enforcement provisions permitting a presentment for non-payment and the initiation of insolvency proceedings if the Debtor fails to comply within the statutory period.

NOW, THEREFORE

3. TIME FOR COMPLIANCE

4. CONSEQUENCES OF FAILURE TO PAY

If the Debtor fails to pay the Demand Sum within the compliance period, the Creditor may take any or all of the following actions: (a) present a petition for the winding up or bankruptcy of the Debtor; (b) seek judgment and enforcement by execution; and (c) recover interest, enforcement costs, and legal fees to the extent permitted by contract and statute. The Debtor is hereby put on notice that non-payment may result in insolvency proceedings without further notice.

5. INTEREST AND COSTS

Interest on the Demand Sum shall accrue at the contractual or statutory rate from the due date until payment in full. The Debtor shall also be liable for reasonable costs of collection, including legal fees, fees for service, and court costs, to the extent recoverable under applicable law.

If any provision of this Demand is held to be invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired thereby.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Demand shall be effective unless in writing and signed by the Creditor. Failure or delay by the Creditor to enforce any right under this Demand does not constitute a waiver of that right. This Demand may be executed in counterparts, each of which will be deemed an original.

12. DECLARATION
