What a Legal Steering Agreement Is and When Parties Use It

A Legal Steering Agreement is a contract among parties, insurers, or co-defendants that allocates responsibility for selecting counsel, coordinating legal strategy, approving budgets, and managing settlements in a multi-party litigation or regulatory matter. It defines decision-making authority, communication protocols, expense sharing, privilege and confidentiality protections, and processes for adding or replacing counsel. Steering agreements are contractual and governed by state contract law; they can be executed electronically where permitted by the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA or ESRA rules.

Why a Steering Agreement Adds Legal and Practical Clarity

A steering agreement reduces conflicting defenses, centralizes strategy, clarifies budget responsibility, preserves privilege management, and documents settlement approval processes — lowering organizational risk and administrative friction among multiple parties.

Why a Steering Agreement Adds Legal and Practical Clarity

Who Typically Uses a Legal Steering Agreement

Common users and parties involved in steering agreements include internal and external legal stakeholders.

  • Corporate defendants and in-house counsel coordinating multi-jurisdiction litigation and cost sharing.
  • Insurers and claims teams managing coverage, counsel selection, and allocation of defense expenses.
  • Plaintiffs' counsel or plaintiff groups in complex actions forming committees to coordinate claims and settlements.

Use by these groups helps prevent duplicate effort, align defenses, and document approvals for audits and regulatory review.

Roles and Typical Signatories

Lead Counsel

Lead counsel is often a senior partner or firm designated to direct litigation strategy, coordinate filings, and communicate with the steering committee. The lead counsel role includes budget proposals, status updates, and handling privilege logs where required.

Company Counsel

Company or insurer counsel represents the client’s interests, approves budgets, reviews settlement terms, and signs on behalf of the insured or corporate party when authorized by corporate governance documents.

Core Elements Every Professional Steering Agreement Should Include

A comprehensive agreement defines authority, decision rules, budgets, confidentiality, counsel selection, and processes for resolving disputes among signatories.

Scope

Describe the matters covered (claims, jurisdictions, time frames) and specify exclusions to avoid ambiguity about which cases fall under the steering arrangement.

Decision Authority

State who can make binding decisions, required voting thresholds for settlements, and procedures for emergency actions to prevent later disputes.

Budget & Fees

Outline fee approval process, expense caps, billing formats, and procedures for reallocating unexpected costs among parties.

Counsel Selection

Define how lead and liaison counsel are selected, replacement procedures, conflicts checks, and any preapproved firm lists or billing rates.

Confidentiality

Include privilege preservation rules, handling of privileged communications, and confidentiality obligations for committee materials and communications.

Settlement Process

Describe settlement approval thresholds, distribution of proceeds, release language requirements, and documentation needed to finalize agreements.

Step-by-Step: How to Put a Steering Agreement in Place

Follow these steps to draft, approve, and implement a Legal Steering Agreement with minimal delay.

  • 01
Draft Agreement: Prepare a clear draft covering scope, roles, and budgets.
  • 02
Internal Review: In-house or insurer counsel reviews for conflicts and governance compliance.
  • 03
Signatory Approval: Obtain required corporate or insurer approvals documented in writing.
  • 04
Execute and Distribute: Execute signatures and distribute final agreement to all parties and counsel.

Digital Workflow Settings for Online Completion

Configure these workflow settings when using an eSignature platform to route, authenticate, and retain the executed agreement.

Field Configuration
Notification workflow Sequential email routing to signatories with reminders every 3 days.
Approval sequence Set role-based order: Lead Counsel → In-house Counsel → CFO/Claims.
Authentication level Use email+SMS or knowledge-based authentication for high-value approvals.
Retention policy Enable audit trail retention and export to secure storage after signing.

How the Agreement Moves from Draft to Enforced Practice

A steering agreement becomes operational through coordinated drafting, approvals, and communication protocols among counsel and stakeholders.

  • Draft: Create and circulate a draft addressing core elements.
  • Approve: Obtain signatory and governance approvals.
  • Sign: Execute signatures electronically or on paper.
  • Implement: Begin coordinated filings, budgeting, and privileged communications.

Technical Considerations for Electronic Execution

Use an eSignature platform that supports audit trails, secure storage, and required integrations for your workflow.

  • Authentication: Email+SMS, KBA, or advanced signer verification.
  • Integrations: CRM and document systems like Salesforce or NetSuite supported.
  • Formats: Use PDF or DOCX; preserve redlines and audit logs.

Ensure the platform complies with ESIGN/UETA requirements and your industry regulations before relying on electronic execution.

Key Risks and Potential Consequences of a Flawed Agreement

Unauthorized Settlements: Settlement approved without proper authority may be voidable or cause indemnity disputes.
Privilege Loss: Poorly defined confidentiality can waive privilege or permit adverse disclosure.
Budget Overruns: Unclear fee allocation can create billing disputes and coverage denial risk.
Conflict of Interest: Failure to identify conflicts may require counsel withdrawal or court disclosure.
Invalid Signatures: Missing authority or incorrect execution may invalidate agreement terms.
Regulatory Exposure: Noncompliance with industry rules (e.g., HIPAA) can trigger audits or penalties.

Common Preparation Mistakes to Avoid

  • Leaving decision thresholds undefined, which leads to disputes over settlement authority and veto rights.
  • Failing to identify and disclose conflicts of interest before appointing lead counsel, creating later ethical issues.
  • Using vague budget language without approval timelines or reporting formats, resulting in reimbursement disputes.
  • Neglecting privilege protocols and document labeling, which can lead to inadvertent waiver during discovery.

Practical Best Practices for Drafting and Managing a Steering Agreement

Adopt clear governance, consistent reporting, and secure recordkeeping to reduce risk and administrative burden.

Define Clear Voting Rules
Specify voting thresholds for ordinary and extraordinary actions (e.g., majority vs. supermajority). Identify who may act in emergencies and document post hoc ratification procedures to limit disputes.
Standardize Budget Submissions
Require itemized budgets with regular reporting intervals and a defined approval timeline. Use consistent invoice formats and dispute resolution steps to prevent payment delays.
Preserve Privilege Proactively
Include a privilege protocol for committee communications, labeling requirements, and counsel-only materials. Consider a common interest agreement where applicable to strengthen privilege protections.
Use Reliable eSignature Workflows
Execute and store signed agreements with audit trails, signer authentication, and tamper-evident copies to satisfy ESIGN/UETA record retention and evidentiary needs.

Illustrative Use Cases: How Steering Agreements Function in Practice

These brief examples show common scenarios where a steering agreement organizes multi-party legal work.

Multi-Defendant Litigation

Intro: Several corporate defendants facing coordinated claims in multiple states agree to centralize defense strategy.

  • Point: Lead counsel is appointed to file coordinated motions.
  • Outro: The agreement sets budget caps, voting rules for settlements, and privilege protocols, reducing duplicative filings and clarifying cost-sharing.

Regulatory Investigation

Intro: Multiple subsidiaries under a regulatory inquiry form a steering committee to engage outside counsel.

  • Point: Counsel selection and invoice approvals are centralized.
  • Outro: The steering agreement documents confidentiality, investigator communications, and settlement approval criteria to streamline responses and preserve privilege.

Typical Timelines and Internal Deadlines to Include

Establish measurable deadlines to avoid disputes and ensure timely decision-making during active matters.

Lead Counsel Appointment:

Appoint lead counsel within 14 days of agreement execution.

Initial Budget Submission:

Lead counsel submits a detailed budget within 30 days of appointment.

Regular Reporting:

Monthly expense and status reports due within 10 days of month-end.

Settlement Approval Timeline:

Provide at least 14 days for committee review before executing settlements.

Document Retention Start:
