LEGAL STEP DOWNS AGREEMENT

This Legal Step Downs Agreement (the "Agreement") is entered into as of Effective Date: by and between Company Name: , and Counterparty Name: .

RECITALS

WHEREAS, Company Name is party to certain obligations, fees, rates, or other performance commitments described herein that are subject to reduction upon the occurrence of specified events or the attainment of specified metrics; and

WHEREAS, Counterparty Name and Company Name desire to document a binding arrangement providing for scheduled and conditional step downs in rates, fees, or obligations in accordance with the terms and conditions set forth below; and

WHEREAS, the parties intend for the step down mechanism to be administrable, subject to notice and verification procedures, and to allocate risks and remedies in the event of dispute or default.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below.

"Initial Rate" means the baseline rate, fee, or obligation prior to any step down, equal to (if monetary) or described as .

"Step Down" means a discrete reduction in an existing rate, fee, or obligation pursuant to the schedule, triggers, and calculation methods set forth in Section 2.

2. STEP DOWN MECHANISM

2.1 Schedule and Triggers. Subject to the conditions precedent in Section 3, the Initial Rate shall be reduced in accordance with the schedule attached or described below. Each scheduled reduction shall become effective upon the satisfaction of the corresponding trigger event and provision of notice pursuant to Section 8. The parties set forth an initial step down schedule as follows:

2.2 Calculation. Each Step Down shall be calculated on a gross basis unless otherwise stated, and adjustments shall be made pro rata for any partial period. The new rate after a Step Down shall be determined by applying the reduction percentage or fixed decrement stated in the schedule to the prevailing rate immediately prior to the Step Down.

2.3 Verification. Prior to the effective date of any Step Down, the party asserting satisfaction of a trigger shall provide reasonably detailed evidence supporting satisfaction. The receiving party shall not unreasonably withhold or delay a certification of satisfaction where evidence substantively satisfies the trigger criteria.

2.4 Reversibility. A Step Down shall be reversible (subject to reversal upon subsequent failure to meet conditions) and shall be permanent (not subject to reversal). The parties will initial their selection at execution.

3. CONDITIONS PRECEDENT

3.1 Each Step Down shall be conditioned upon (a) timely delivery of the verification materials described in Section 2.3, (b) absence of an uncured material breach by the party seeking or receiving the Step Down, and (c) compliance with any agreed regulatory or third-party consents where applicable.

3.2 If a Step Down trigger is met but a party reasonably disputes the evidence, the parties shall cooperate in good faith to resolve the dispute in accordance with Section 6 (Remedies and Dispute Resolution).

4. REPRESENTATIONS AND WARRANTIES

4.1 Each party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has full corporate or other power and authority to enter into and perform this Agreement; and (c) execution and delivery of this Agreement and performance of its obligations hereunder have been duly authorized by all necessary action.

4.2 The party seeking a Step Down further represents that the facts and metrics presented in support of the trigger are true and correct in all material respects as of the date of submission.

5. COVENANTS

5.1 Cooperation. Each party shall provide reasonable cooperation, access to records, and reasonably requested information necessary to verify satisfaction of trigger events and to implement Step Downs.

5.2 Preservation of Rights. Nothing in this Agreement shall be construed to waive any remedies available under other agreements between the parties, except as expressly set forth herein.

6. DEFAULTS, REMEDIES AND DISPUTE RESOLUTION

6.1 Event of Default. An Event of Default shall include the failure to perform material obligations under this Agreement, submission of materially false verification materials, or any insolvency event that impairs a party's ability to perform.

6.2 Remedies. Upon an Event of Default, the non-defaulting party may suspend further Step Downs, demand restoration of previously effected Step Downs to the extent reversible, seek specific performance, injunctive relief, and pursue any other remedies available at law or in equity.

6.3 Dispute Resolution. The parties shall endeavor to resolve disputes regarding satisfaction of triggers or calculation of Step Downs by good faith negotiation. If negotiations fail, the parties agree to binding arbitration in the jurisdiction specified in Section 11, conducted by a single arbitrator with experience in commercial contracts, unless the parties agree otherwise in writing.

7. TERMINATION

This Agreement shall terminate upon the earlier of (a) mutual written agreement of the parties, (b) termination of the underlying commercial relationship as set forth in writing by both parties, or (c) material breach of this Agreement that remains uncured after thirty (30) days' written notice.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, registered mail, nationally recognized overnight courier, or email with confirmation of receipt.

9. AMENDMENTS, WAIVER AND COUNTERPARTS

9.1 This Agreement may be amended or modified only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

9.2 This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Signatures delivered by electronic or facsimile means shall be deemed binding for all purposes.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Jurisdiction:

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the parties shall endeavor in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original intent of the parties.

11. MISCELLANEOUS

11.1 Survival. Provisions relating to indemnity, confidentiality, dispute resolution, and any other provisions that by their nature should survive termination shall survive termination or expiration of this Agreement.

11.2 Interpretation. The headings in this Agreement are for convenience of reference only and shall not affect the interpretation of this Agreement.
