"Confidential Information" means information designated in writing as confidential pursuant to Section 5. Other capitalized terms shall have the meanings assigned to them in the body of this Stipulation.

2. STIPULATED FACTS AND ADMISSIONS

The Parties hereby stipulate and agree that the following facts are true and may be deemed admitted solely for the purposes of the proceedings identified above and such related matters as the Parties may mutually agree:

Each party retains the right to object to introduction of stipulated facts in evidence on grounds of relevance, admissibility, or prejudice, except where the Parties expressly agree that a stipulated fact shall be admitted into evidence in the proceeding.

3. SCOPE OF STIPULATION

This Stipulation applies only to the specific facts and procedural matters expressly set forth herein. Nothing in this Stipulation shall be construed to resolve or admit liability for any claim not expressly identified in the Stipulated Facts. The Parties acknowledge that this Stipulation is not an admission of liability except as to the particular facts expressly stipulated.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has the full power and authority to enter into and perform its obligations under this Stipulation; (b) the individual signing on its behalf is duly authorized to execute this Stipulation; and (c) this Stipulation constitutes a valid and binding obligation enforceable in accordance with its terms.

5. CONFIDENTIALITY

Unless otherwise indicated below, the Parties agree that the terms of this Stipulation and any materials designated as Confidential Information shall be kept confidential and shall not be disclosed to third parties except as necessary to enforce the Stipulation, to comply with applicable law, or to obtain professional advice. If disclosure is compelled by law, the disclosing Party shall promptly notify the other Party.

6. RELEASES AND RESERVATIONS

Except as expressly provided herein, nothing in this Stipulation shall be deemed to release any claims or causes of action not specifically identified in the Stipulated Facts. Where a release is provided, it shall be limited to the matters expressly described and shall not affect any rights or obligations that by their nature survive termination of this Stipulation.

7. ENFORCEMENT AND REMEDIES

In the event of a breach of this Stipulation, the non-breaching Party shall be entitled to pursue all available remedies at law or in equity, including specific performance, injunctive relief, and recovery of costs and attorneys' fees as provided in Section 8 below. The Parties agree that monetary damages may be inadequate to remedy certain breaches and that equitable relief may be warranted.

8. COSTS AND ATTORNEYS' FEES

Except as otherwise agreed in writing, each Party shall bear its own costs and attorneys' fees in connection with negotiating and performing this Stipulation. In any action to enforce this Stipulation, the prevailing Party shall be entitled to recover reasonable attorneys' fees, costs, and expenses from the non-prevailing Party.

10. AMENDMENT; WAIVER

This Stipulation may be amended only by a written agreement signed by the Parties. No waiver of any provision of this Stipulation shall be effective unless in writing and signed by the Party against whom enforcement of the waiver is sought. A waiver of any breach shall not operate as a waiver of any other or subsequent breach.

11. GOVERNING LAW

This Stipulation shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Parties below, without regard to principles of conflict of laws.

12. ENTIRE AGREEMENT

This Stipulation constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto.

13. SEVERABILITY

If any provision of this Stipulation is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect, provided that the essential terms and conditions of this Stipulation for each Party remain enforceable.

14. COUNTERPARTS; ELECTRONIC SIGNATURES

This Stipulation may be executed in counterparts and by electronic or facsimile signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
