LEGAL STIPULATIONS AGREEMENT

This Legal Stipulations Agreement (the Agreement) is entered into as of (Effective Date) by and between:

WHEREAS, Party A and Party B desire to set forth certain legal stipulations, obligations and procedures governing their relationship with respect to the work and services described in this Agreement; and

WHEREAS, Party A represents that it has the authority, capacity and resources to perform the duties described herein and Party B desires to engage Party A on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the scope, payment terms, confidentiality obligations, and remedies set forth below shall constitute the exclusive and binding understanding between the parties regarding the subject matter hereof.

Scope of Work

Party A shall perform the services and deliverables described below in a professional manner consistent with industry standards. The parties acknowledge that changes to the scope shall be effective only if documented in a written amendment signed by authorized representatives of both parties.

Payment Terms

In consideration for the performance of the Scope of Work, Party B shall pay Party A in accordance with the terms below. All sums are payable in lawful currency and are exclusive of any taxes which the paying party is required to remit by law.

Invoices shall be submitted to Party B in accordance with the payment schedule. Payments shall be due within days of receipt of an undisputed invoice. Late payments shall accrue interest as set forth below.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within 30 days after receipt of written notice specifying the breach.

Confidentiality

Each party (the Receiving Party) shall keep confidential and not disclose to any third party any non-public information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that: (a) is or becomes generally known to the public through no fault of the Receiving Party; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's confidential information.

Confidentiality Duration: years following termination or expiration of this Agreement.

Notwithstanding the foregoing, the Receiving Party may disclose Confidential Information to the extent required by law or valid legal process, provided that the Receiving Party gives the Disclosing Party prompt written notice of such requirement (to the extent legally permitted) and cooperates in any reasonable attempt by the Disclosing Party to obtain confidential treatment or a protective order.

Representations; Indemnification; Remedies

Each party represents and warrants that it has full power and legal capacity to enter into this Agreement and to perform its obligations hereunder. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party’s gross negligence, willful misconduct or material breach of this Agreement.

Except for breaches of confidentiality and indemnification obligations, neither party shall be liable to the other for incidental or consequential damages except to the extent caused by gross negligence or willful misconduct; total aggregate liability of either party for direct damages arising out of this Agreement shall not exceed the total compensation actually paid under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that remedies at law for breach may be inadequate and that injunctive relief may be an appropriate remedy in addition to any other remedies available at law or in equity.
