LEGAL STORAGE WAIVER

This Legal Storage Waiver (the "Waiver") is made on Date: by and between Storage Provider: whose principal address is and Owner: whose address is .

RECITALS

WHEREAS, Owner desires to place certain tangible personal property into storage at the Facility operated or controlled by Storage Provider; and

WHEREAS, Storage Provider agrees to accept custody of the Stored Property for the Term described herein subject to the terms, conditions and limitations set forth in this Waiver; and

WHEREAS, the parties wish to set forth their respective allocation of risks, release, and indemnity obligations with respect to the Stored Property.

NOW, THEREFORE

In consideration of Storage Provider accepting custody of the Owner's property and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Waiver, the following definitions apply: "Stored Property" means the tangible personal property described in Section 2 below; "Facility" means the storage location at or under the control of Storage Provider; "Claim" means any demand, loss, damage, liability, cost or expense, including attorneys' fees.

3. WAIVER, RELEASE AND ASSUMPTION OF RISK

Owner hereby releases, waives and discharges Storage Provider, its owners, officers, employees and agents from any and all Claims arising out of loss, theft, damage, deterioration, infestation, mysterious disappearance or other loss of or to the Stored Property, except to the extent caused by Storage Provider's gross negligence or willful misconduct. Owner acknowledges that ordinary negligence of Storage Provider is expressly waived.

Owner expressly assumes all risks associated with the storage of the Stored Property, including but not limited to fire, water, mold, vermin, mechanical failure of security systems, and theft. Owner acknowledges that Storage Provider does not provide insurance for the Stored Property unless a separate written agreement is executed.

4. INSURANCE; DECLARATIONS

Owner represents and warrants that Owner has reviewed the nature and value of the Stored Property and elects one of the following (check one):

Owner confirms existing insurance covering the Stored Property in an amount not less than the Declared Aggregate Value and will maintain such insurance during the Term.

Owner declines to obtain insurance and acknowledges that any loss shall be governed solely by the terms of this Waiver and the limitation of liability set forth in Section 5.

5. LIMITATION OF LIABILITY

Except for loss or damage resulting from Storage Provider's gross negligence or willful misconduct, the liability of Storage Provider for any Claim relating to the Stored Property shall be limited to the lesser of (a) the Declared Aggregate Value as stated above, or (b) actual proven direct damages. In no event shall Storage Provider be liable for consequential, incidental, punitive, exemplary or special damages.

6. INDEMNIFICATION

Owner shall defend, indemnify and hold harmless Storage Provider from and against any and all Claims arising out of Owner's breach of this Waiver, the condition or contents of the Stored Property, Owner's negligence, or Owner's failure to obtain insurance where elected. This indemnification obligation includes costs of defense and reasonable attorneys' fees.

7. ACCESS, SECURITY AND REMOVAL

Owner authorizes Storage Provider to permit access to the Stored Property to Owner or the following authorized persons: . Owner agrees that Storage Provider may, without liability, comply with lawful orders, liens or legal process with respect to the Stored Property.

Owner shall remove the Stored Property upon the earlier of (a) expiration of the Term, (b) termination by Storage Provider for nonpayment or breach, or (c) written request by Storage Provider after reasonable notice. Owner shall be responsible for all costs of removal, storage charges and any lien-related expenses.

8. PAYMENT; LIENS

Owner acknowledges that Storage Provider may assert a possessory lien against the Stored Property for unpaid charges and costs of storage, and may exercise all remedies permitted by law to enforce such lien, including sale of the Stored Property after any required notices and cure periods.

Any amendment or modification of this Waiver must be in writing and signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance.

11. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the substantive laws of the state specified by the parties below, without regard to conflict of laws principles.

12. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Waiver is held invalid or unenforceable, the remainder shall remain in full force and effect. This Waiver may be executed in counterparts, each of which shall be deemed an original.

13. OWNER CERTIFICATION

Owner certifies that Owner has read this Waiver carefully, that Owner understands its terms, that Owner has authority to execute this Waiver, and that Owner knowingly and voluntarily releases the claims described herein. Owner acknowledges receipt of a copy of this Waiver.
