RECITALS

WHEREAS, Releasor and Releasee are parties to certain structural work, repairs, alterations or inspections described as Project: , located at Property Address: ; and

WHEREAS, Releasee performed structural services, and the parties desire to resolve and release certain claims related to the structural scope of work upon the terms and for the consideration set forth in this Release; and

WHEREAS, the parties intend that this Release operate as a final and binding resolution of the matters expressly described below, except as expressly reserved herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Release, the following terms shall have the meanings set forth below: "Claim" means any demand, cause of action, lien, suit, obligation, liability, loss or damage asserted by either party relating to the structural work described in this Release. "Completion Date" means the date structural work was substantially complete: .

2. RELEASE

Subject to Section 4 (Exceptions), and in consideration of the payments and promises set forth in this Release, Releasor hereby fully and finally releases and forever discharges Releasee and its officers, directors, employees, agents, subcontractors and insurers from any and all Claims arising out of or in any way related to the structural work up to the Effective Date, including but not limited to claims for breach of contract, negligence, professional negligence, defective workmanship, delay, consequential damages, indemnity, contribution and statutory remedies.

3. CONSIDERATION

As full consideration for the release set forth in Section 2, Releasee shall pay Releasor or cause to be paid the sum of (the "Consideration"), payable in accordance with the payment provisions set forth below.

4. EXCEPTIONS AND RESERVED CLAIMS

Notwithstanding the foregoing, this Release does not extend to Claims arising from: (a) fraud or willful misconduct by Releasee; (b) latent structural defects discovered after the Effective Date that are directly attributable to work performed by Releasee and which could not reasonably have been discovered by Releasor prior to execution of this Release; or (c) obligations expressly reserved in writing below.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to execute and deliver this Release and to perform its obligations hereunder; and (c) the execution, delivery and performance of this Release have been duly authorized by all necessary corporate or other action.

6. INDEMNITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party Claims to the extent arising from the indemnifying party's breach of this Release, negligent acts or willful misconduct. This indemnity survives the termination or expiration of this Release.

7. MECHANIC'S LIENS AND BOND CLAIMS

Releasor covenants that it will not file, continue or maintain any mechanic's lien, stop notice or similar encumbrance arising out of the structural work released by this Release. If any such lien has been recorded, Releasor shall take all actions necessary to release or bond off the lien within a commercially reasonable time following receipt of Consideration.

8. NO ADMISSION

The parties agree that this Release is not an admission of liability by any party, and no party shall be deemed to have admitted liability by reason of this Release or the consideration provided herein.

9. SURVIVAL

The provisions of this Release that by their terms survive termination shall survive and continue in full force and effect after any termination or expiration of this Release, including but not limited to Sections 4, 5, 6, 7, 8, 13 and this Section 9.

10. NOTICES

Notices shall be in writing and shall be deemed given when delivered in person, sent by nationally recognized overnight carrier, or mailed by certified mail, return receipt requested, to the addresses provided above or such other address as a party designates by written notice.

11. AMENDMENTS AND WAIVER

This Release may be amended or modified only by a written instrument executed by both parties. No failure or delay by any party in exercising any right under this Release shall constitute a waiver of that right unless such waiver is in writing and signed by the waiving party.

12. GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to its conflict of law principles.

13. ENTIRE AGREEMENT

This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether written or oral, relating thereto.

14. SEVERABILITY

If any provision of this Release is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

15. COUNTERPARTS

This Release may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by facsimile or electronic image shall be binding for all purposes.

16. AUTHORITY TO EXECUTE

Each individual executing this Release on behalf of an entity represents and warrants that he or she is authorized to do so and that such execution binds the party he or she purports to represent.
