What a Legal Subordination Resolution Is

A Legal Subordination Resolution is a formal written instrument by which one creditor agrees that its lien, claim, or security interest will take a lower priority relative to another creditor for a specific obligation or lien on the same collateral. Common in real estate and finance, it clarifies priority for mortgage refinancing, construction loans, or debt restructurings and is typically recorded in the county land records. The document identifies the parties, describes the encumbered property, sets the subordinated priority, and includes execution and notarization details; it can be executed electronically under ESIGN (15 U.S.C. ch. 96) and UETA where adopted.

Why Parties Use a Subordination Resolution

A subordination resolution formally protects the new lender's priority, reduces title uncertainty, and documents lender consent to reorder liens. It supports recording clarity, helps satisfy closing conditions, and provides a clear evidentiary trail if disputes arise under state recording acts.

Why Parties Use a Subordination Resolution

Typical Users and Signers

The document is most often executed by secured creditors, mortgage lenders, title companies, and authorized representatives of the borrower prior to recording.

  • Lenders and Mortgagees — Bank counsel and loan officers who must confirm priority changes and protect collateral rights.
  • Title Companies — Review and require subordinations as part of closing and title insurance underwriting.
  • Borrowers and Agents — Authorized signatories who coordinate lender consents and ensure accurate property identification.

Each signer must have authority to bind the named party; lender counsel often prepares or approves the precise subordinating language.

Core Elements to Include in a Professional Resolution

A complete resolution names the parties, describes the priority change, references existing instruments, and gives clear recording instructions so local land records reflect the intended priority.

Parties

Full legal names and capacities of the subordinating creditor, primary creditor, and borrower or grantor to avoid ambiguity in enforcement.

Recitals

Background statements that identify the original instruments, recording references, and the reason for subordination (refinance, construction loan, etc.).

Subordination Clause

Precise operative language stating which lien or security interest is subordinated and specifying the new priority relative to the superior instrument.

Property Description

Legal description or assessor parcel number to clearly link the resolution to the collateral being affected.

Recording Instructions

Instructions for the county recorder, including the document to be recorded against and any required exhibit attachments or fees.

Execution Block

Signature lines, printed names, titles, dates, and notary or remote notarization elements required for valid execution and recording.

Essential Data Fields to Provide

Creditor Name: Exact legal name
Primary Lender: Lender legal name
Property ID: Legal description
Document Reference: Recording details
Effective Date: MM/DD/YYYY
Notary Block: Acknowledgement info

Step-by-Step: Completing a Subordination Resolution

Follow these sequential steps to prepare, execute, and record a subordination resolution with minimal delays.

  • 01
Gather Records: Assemble mortgages, deeds, and recording numbers for referenced instruments.
  • 02
Draft Resolution: Insert parties, legal description, and precise subordination language.
  • 03
Obtain Consent: Secure signatures from subordinating creditor and any required lender approvals.
  • 04
Notarize & Record: Notarize execution and deliver to county recorder for filing.

Configuring an Online Completion Workflow

Set up a digital workflow that enforces required fields, signer order, and recording-ready output before sending for signature.

Field Configuration
Signature Type Electronic or wet-notarized signature field
Authentication Email plus SMS code or KBA where permitted
Conditional Fields Show recording exhibits only if checkbox set
Export Format PDF/A for recording and archival

Where to Send and How the Submission Works

Routing typically moves from preparer to creditor counsel to notary and then to the county recorder; each step should create a verifiable audit trail.

  • Send to Lender: Deliver draft to primary lender for review and consent.
  • Execute: Signatures collected in the prescribed signer order.
  • Notarize: Complete jurat or acknowledgement in-person or via RON if allowed.
  • Record: Submit signed instrument to county recorder for indexing.

Systems and File Formats to Use

Use a platform that supports secure eSignatures, audit trails, and export of recording-ready PDFs.

  • Integrations: Salesforce, NetSuite, Microsoft 365 integrations supported
  • File Types: PDF, DOCX, and PDF/A export available
  • Authentication: Email, SMS, or advanced methods

Ensure the chosen platform preserves timestamps, signer attribution, and creates a tamper-evident signed PDF suitable for county recording or archival.

Typical Timing and Processing Expectations

Plan for lender review time, execution scheduling, notarization availability, and county recording cycles when estimating closing timelines.

Pre-Closing Execution:

Complete before or at closing to avoid title exceptions.

Lender Review Time:

Allow 5–30 days for lender counsel review, depending on complexity.

Notary Scheduling:

Account for in-person or RON availability in your jurisdiction.

Recorder Processing:

County recording turnaround varies; same-day to several weeks.

RON Record Retention:

Audio-video retained 5–10 years where RON is used

Risks and Consequences of Errors

Priority Loss: Reduced lien priority affects enforcement
Recording Rejection: Incorrect form or missing notary can be rejected
Title Exceptions: Failure to record creates title insurance exceptions
Enforcement Issues: Ambiguous language impairs foreclosure rights
Invalid Signatures: Unauthorized signatory undermines validity
Regulatory Exposure: Noncompliance may affect lender obligations

Common Preparation Mistakes to Avoid

  • Using an imprecise legal description that does not match recorded instruments leads to misindexing and title exceptions upon recording.
  • Referencing incorrect recording book/page or instrument number creates uncertainty about which encumbrance is subordinated and invites lender disputes.
  • Failing to confirm the signer's authority or corporate resolution produces challenges to enforceability and may require ratification through additional documents.
  • Skipping notarization or using the wrong notarial acknowledgment for deeds in that county can result in rejection by the recorder's office.
