LEGAL SUBSTITUTION OF ATTORNEY

RECITALS

WHEREAS, Client retained Outgoing Attorney to represent Client in the above-captioned matter and Outgoing Attorney has appeared of record on Client's behalf; and

NOW, THEREFORE

1. SUBSTITUTION OF COUNSEL

Client hereby substitutes Substitute Counsel as attorney of record in the above-captioned matter in place of Outgoing Attorney. Substitute Counsel shall have full authority to appear for Client, to receive and review all pleadings, notices and communications, to take all procedural and substantive steps necessary in the representation, and to make any appropriate filings to effect this substitution with the tribunal and other relevant authorities.

2. AUTHORITY, SCOPE AND INSTRUCTIONS

Client authorizes Substitute Counsel to exercise all professional judgment and to take such actions as are reasonably necessary to prosecute, defend or otherwise further Client's interests in this matter, subject to express directions from Client. Substitute Counsel's authority includes, without limitation, the authority to access Client files, receive confidential information, negotiate settlements, and execute documents on Client's behalf as reasonably necessary to effectuate representation consistent with applicable rules of professional conduct.

3. TRANSFER OF FILES, RECORDS AND PROPERTY

Outgoing Attorney is requested to transfer to Substitute Counsel all original and duplicate files, pleadings, exhibits, discovery materials, client property, and other documents reasonably necessary for continued representation. Such transfer shall occur within a reasonable time after execution of this Substitution and receipt of any required client authorization. Client authorizes Outgoing Attorney to release all such materials to Substitute Counsel.

Outgoing Attorney is authorized to provide Substitute Counsel with copies of Client's billing statements and any trust account records relevant to fees and costs invoiced in the above matter to the extent permitted by law and ethical obligations.

4. FEES, COSTS AND SECURITY

Client acknowledges that substitution of counsel does not, by itself, extinguish any fee, cost, or security obligations to Outgoing Attorney nor does it alter any fee agreement unless explicitly agreed in writing. Client authorizes Outgoing Attorney to bill for services rendered through the date of substitution and to apply any retainer or trust funds in accordance with the fee agreement and applicable professional rules. Any change in fee arrangement between Client and Substitute Counsel will be set forth in a separate fee agreement.

5. CLIENT ACKNOWLEDGMENT AND AUTHORIZATION

Client acknowledges that Client has been advised of the right to consult with separate counsel as to this substitution, that Client has requested substitution of Substitute Counsel, and that Client authorizes the release of all relevant information and files to Substitute Counsel as necessary for continued representation. Client further authorizes Substitute Counsel to sign and file all documents on Client's behalf that are reasonably necessary to effectuate this substitution.

6. OUTGOING ATTORNEY STATEMENT

Outgoing Attorney is requested, to the extent permitted by professional obligations, to consent to this substitution and to cooperate reasonably in the orderly transfer of the matter to Substitute Counsel. Outgoing Attorney shall promptly advise the tribunal and any affected parties of the substitution, if required, and shall provide such notices and filings as necessary to effect a withdrawal from the record consistent with applicable rules and the tribunal's procedures.

7. NOTICES

All notices required or permitted under this Substitution shall be given in writing to the addresses provided below or to such other address as a party provides in writing.

8. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Substitution shall be governed by and construed in accordance with the substantive laws of the jurisdiction in which the tribunal hearing the matter is located, without regard to conflict-of-law principles. This Substitution contains the entire understanding of the parties with respect to the matters addressed herein and supersedes all prior agreements and understandings, whether written or oral, relating to substitution of counsel. If any provision of this Substitution is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

9. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Substitution must be in writing and executed by Client and Substitute Counsel. No waiver of any provision shall be effective unless executed in writing. This Substitution may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by facsimile, electronic image, or other electronic means shall have the same force and effect as originals.
