What the Legal Substitution of Attorney Form Is

A Legal Substitution of Attorney Form documents the replacement of one attorney or law firm with another on an active matter. It records who is withdrawing, who is entering as counsel, the case or file reference, and the effective date of the substitution. Courts, opposing counsel, and clients typically require a signed substitution before the new attorney appears or receives privileged communications. The form protects client interests, updates service-of-process addresses, and preserves the chain of authority for settlement, filings, and ongoing litigation tasks.

Why a Proper Substitution Form Matters

Using a clear substitution form prevents confusion about representation, preserves client confidentiality, and creates an auditable record that courts and third parties accept for service and billing changes.

Why a Proper Substitution Form Matters

Who Typically Completes or Signs This Form

Several parties may complete or sign a substitution form depending on the stage of the matter and court rules.

  • Clients and outgoing counsel coordinating the transfer of representation and releasing former counsel from further duties.
  • Incoming counsel accepting appearance and updating service addresses for filings and discovery correspondence.
  • Court clerks or filing agents processing the substitution before the new attorney is entered on the docket.

Confirm who must sign under applicable court rules; some jurisdictions require both client and attorneys to sign.

Step-by-Step: How to Complete the Substitution Form

Follow this order to complete and file a substitution without procedural gaps or service failures.

  • 01
Confirm authority: Verify client authorization to change counsel.
  • 02
Populate form: Complete case caption and attorney contact blocks.
  • 03
Obtain signatures: Collect client and both attorneys’ signatures as required.
  • 04
File and serve: File with the court and serve all parties per local rules.

Essential Elements of a Professional Substitution Form

A professional form is concise, unambiguous, and contains fields that courts and opposing counsel expect to see. Include the following elements to reduce clerical rejections and disputes over representation.

Case details

Complete caption, docket number, court name, and party names so clerks can match the form to the correct matter without manual reconciliation.

Attorney identities

List outgoing and incoming attorney names, bar numbers, firm names, and contact information to establish who is removing and who is accepting representation.

Client authorization

A client signature or written authorization confirms consent to the change and is often required by court rules to validate the substitution.

Effective date

Specify when the substitution takes effect; that date governs when the new attorney can act on behalf of the client and receive privileged communications.

Service instructions

Provide the preferred service address and email for future filings and discovery to ensure correct service under local rules and electronic filing systems.

Filing entry

Leave space for the court clerk’s stamp or entry notation so there is a visible record of when the court accepted the substitution.

Typical Routing After Completion

After signatures, use the sequence below to ensure the substitution is processed and recorded by the court and all parties.

  • Prepare copies: Create one original and service copies for all parties.
  • File with court: Submit original to the clerk per local e-filing or paper rules.
  • Serve parties: Serve opposing counsel and interested parties as required.
  • Confirm docket entry: Verify the clerk's entry and retain stamped copy in file.

How to Configure an Electronic Workflow for Substitution

When using digital tools, set up fields and routing to match signing order and court requirements to maintain compliance and auditability.

Field Configuration
Signature order Client first, outgoing attorney second, incoming attorney third
Required fields Case caption, docket number, attorney bar numbers, effective date
Authentication Email and optional phone/SMS code for signer verification
Retention Enable audit trail and PDF certificate on completion

Technical Considerations for eSubmission

Confirm the court and e-filing system accept electronically signed substitutions and what file formats are permitted.

  • File formats: PDF/A or standard PDF
  • Authentication methods: Email link, SMS code, or advanced verification
  • Audit capabilities: Timestamps, IP logs, and signer audit trail

Where courts permit e-signatures, preserve the signed PDF and certificate of completion; ensure exporter settings embed the audit trail and use secure storage.

Penalties and Risks if the Form Is Incorrect

Court rejection: Delayed entry of new counsel
Service failures: Missed notices or deadlines
Ethics exposure: Professional discipline risk
Privilege gaps: Loss of confidential protections
Billing disputes: Unclear fee authorization
Client complaints: Potential malpractice claims

Common Mistakes to Avoid When Preparing a Substitution

  • Using an incorrect docket number or case caption that prevents the clerk from matching the form to the file.
  • Failing to obtain required signatures from client or attorneys, which can render the substitution ineffective under local rules.
  • Submitting unsigned electronic copies when a wet signature or notarization was required by the court's procedures.
  • Neglecting to serve opposing parties or update service addresses, causing missed hearings or deadlines.

Practical Tips to Ensure Acceptance and Clarity

Adopt these practices to reduce processing errors and protect client interests during a counsel change.

Double-check case identifiers
Verify the court, judge (if applicable), docket number, and full party names against the latest filed pleadings to avoid clerical mismatches.
Confirm signature requirements
Confirm whether the court requires client and attorney signatures, notarization, or in-person filings and collect all required attestations before filing.
Retain proof of service
Keep stamped filing copies and all service receipts or certificates to document that opposing counsel and the court received the substitution.
Record client consent
Document written client authorization for counsel change in the client file to avoid future disputes about authority or fee transfers.
