LEGAL SUCCESS FEE AGREEMENT

RECITALS

WHEREAS, Client has retained Firm to provide legal services concerning the matter described below, and Firm has agreed to represent Client on the terms set forth in this Agreement; and

WHEREAS, Client and Firm desire to establish a contingent success fee structure to compensate Firm in the event of a favorable monetary or non-monetary recovery or other specified success event in the matter; and

WHEREAS, the parties intend that this Agreement set forth the exclusive terms and conditions governing Firm's entitlement to any success fee and related payment obligations;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the following meanings:

(a) "Success Fee" means the contingent compensation described in Section 3 payable to Firm upon the occurrence of a Success Event. "Gross Recovery" means the total amount recovered by Client before deduction of costs, fees, taxes or other deductions. "Net Recovery" means the amount remaining to Client after deduction of costs, fees, taxes and other deductions as provided in this Agreement.

2. ENGAGEMENT; SCOPE OF SERVICES

Client hereby engages Firm to provide legal services in connection with the matter described below, and Firm accepts such engagement subject to the terms of this Agreement. The matter is described as:

3. SUCCESS FEE — TRIGGERS, CALCULATION AND CREDIT

3.1 Success Events. The Success Fee shall become due upon the earliest to occur of the following events (select applicable events and complete amounts):

Settlement or resolution of the claims resulting in a monetary recovery or transfer of value to Client.

Final judgment or award in favor of Client, including any amounts collectible by execution or otherwise.

3.2 Calculation. The Success Fee shall be calculated as follows (select one):

3.3 Retainer Credit and Minimums. Client has paid or shall pay a retainer in the amount of $ , which shall be credited against fees earned. The Success Fee shall not be less than $ unless otherwise agreed in writing.

3.4 Allocation. For purposes of calculating the Success Fee, the parties agree that any amounts paid to resolve multiple claims shall be allocated in good faith between claims to determine the Recovery, and Firm's entitlement shall be based on the allocation that fairly reflects the recovery attributable to the matter.

4. PAYMENT TERMS

4.1 Timing. The Success Fee is due within thirty (30) days after Client's receipt of the Recovery (or the effective date of the Settlement/Judgment). If Client receives recovery in installments, the Success Fee will be payable as amounts are received in proportion to the amounts received.

4.2 Method. Payments shall be made by wire transfer, certified check, or other immediately available funds to Firm at the bank or address designated by Firm. Client shall provide remittance instructions in writing no later than the time of payment.

4.3 Interest. Any unpaid amounts shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law from the date due until paid.

5. COSTS, EXPENSES AND TAXES

Client shall be responsible for all out-of-pocket costs and expenses reasonably incurred by Firm in connection with the engagement, including but not limited to filing fees, expert fees, travel, deposition costs and document production expenses. Such costs shall be advanced by Firm with Client's consent and shall be reimbursed by Client when incurred or from the Recovery as mutually agreed.

6. COOPERATION; CLIENT RESPONSIBILITIES

Client shall cooperate fully with Firm, provide all documents and information necessary for Firm to represent Client, attend hearings and meetings as requested, and not settle, compromise or release any matter without prior written consent of Firm if such agreement would affect Firm's entitlement to a Success Fee.

7. CONFLICTS; REPRESENTATIONS

Client represents that no other attorney or firm is entitled to a portion of any Recoveries for the same claims. Client will disclose any prior engagements that may affect Firm's conflicts. Firm represents that it has conducted reasonable conflict checks and that no known conflict exists other than as disclosed to Client in writing.

8. TERM AND TERMINATION

Either party may terminate this Agreement upon written notice for material breach not cured within thirty (30) days. Termination shall not affect Firm's right to a Success Fee for any Success Event that occurs after termination if such Success Event arises from Firm's prior representation or results from steps taken prior to termination.

9. LIMITATION OF LIABILITY; INDEMNIFICATION

Except for willful misconduct or gross negligence, Firm's liability to Client arising from this Agreement or the engagement shall be limited to direct damages not to exceed the aggregate amount of fees actually paid to Firm under this Agreement. Client shall indemnify and hold Firm harmless from any third-party claims arising from Client's misrepresentations, failure to disclose material facts, or breach of this Agreement.

10. CONFIDENTIALITY

The parties shall treat as confidential the terms of this Agreement and all communications exchanged regarding the matter, except as disclosure is required by law, necessary to enforce rights under this Agreement, or required to obtain the Recovery. Firm may disclose the results of the representation to the extent necessary to collect fees or as otherwise permitted by professional conduct rules.

11. NOTICES

All notices, demands and communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties below. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. AMENDMENTS; WAIVER; COUNTERPARTS; ASSIGNMENT

Any amendment or modification of this Agreement must be in writing and signed by both parties. No failure or delay in enforcing any right shall constitute a waiver. This Agreement may be executed in counterparts, each of which is an original and together constitute one instrument. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Firm may assign rights to collect fees to an assignee.

14. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. All obligations and warranties that by their nature survive termination shall so survive.
