LEGAL SUPPORT DECLARATION

This Legal Support Declaration is made and entered into as of by and between Support Provider: with contact and Client Name: with contact .

RECITALS

WHEREAS, Support Provider is duly authorized and qualified to provide legal advice and assistance and represents that Support Provider holds a current license or authorization appropriate to render legal services;

WHEREAS, Client seeks legal support in respect of certain matters described below and desires to obtain the limited legal support described in this Declaration; and

WHEREAS, the parties desire to set forth the terms, scope, and conditions under which Support Provider will provide legal support to Client.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

1.1 "Legal Support" means the provision of legal advice, consultation, document review, drafting of pleadings or agreements, negotiation assistance, and limited representation in administrative or judicial proceedings as specifically agreed in Section 2.

1.2 "Confidential Information" means all nonpublic information disclosed by Client to Support Provider in connection with the Legal Support, including documents, communications, factual details, and strategic plans.

2. SCOPE OF SERVICES

Support Provider shall provide Legal Support limited to the following matters and tasks:

3. SUPPORT PROVIDER REPRESENTATIONS

Client shall provide all information and documents reasonably necessary for Support Provider to perform the Legal Support in a timely manner, cooperate with Support Provider, and notify Support Provider promptly of any change in circumstances or new facts relevant to the matters at issue.

5. FEES, RETAINER AND EXPENSES

The parties agree that compensation for Legal Support shall be selected below. If no box is selected, compensation shall be hourly at the rate specified for Support Provider.

Client shall reimburse Support Provider for reasonable out-of-pocket expenses incurred in connection with the Legal Support, provided that Support Provider obtains Client's prior approval for expenses exceeding .

6. CONFIDENTIALITY AND PRIVILEGE

Support Provider shall maintain the confidentiality of Confidential Information received from Client and shall not disclose such information except as authorized by Client, required by law, or necessary to perform the Legal Support. The parties acknowledge that communications for the purpose of obtaining legal advice are intended to be privileged and that Support Provider will assert and preserve all applicable privileges on Client's behalf.

7. CONFLICTS OF INTEREST

Support Provider shall promptly disclose to Client any known conflicts of interest. If a conflict exists or arises that materially impairs Support Provider's ability to represent Client, Support Provider shall withdraw or seek Client's informed written consent as required by applicable professional standards.

8. TERM AND TERMINATION

This Declaration shall commence on the Effective Date and shall continue until the completion of the services described in Section 2 or until terminated by either party upon days' written notice to the other party. Termination shall not relieve Client of the obligation to pay fees and expenses incurred prior to termination.

9. LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, Support Provider's liability to Client for any claim arising out of or relating to this Declaration shall be limited to the total fees paid by Client to Support Provider under this Declaration. In no event shall Support Provider be liable for consequential, incidental, special, or punitive damages.

10. INDEMNIFICATION

Client shall indemnify, defend, and hold harmless Support Provider from and against any claims, liabilities, losses, and expenses arising from Client's breach of this Declaration or from Client's intentional misconduct or misrepresentation, except to the extent caused by Support Provider's gross negligence or willful misconduct.

11. NOTICES

All notices, requests, and other communications required or permitted under this Declaration shall be in writing and delivered to the addresses set forth below (or to such other address as either party may designate by notice).

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Declaration may be amended only by a written instrument executed by both parties. Waiver of any breach or default shall not be deemed a waiver of any subsequent breach or default. This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Declaration shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to principles of conflicts of law.

This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Declaration is held to be invalid or unenforceable, the remainder of the Declaration shall remain in full force and effect.

14. MISCELLANEOUS

The parties acknowledge that nothing in this Declaration creates an employment relationship between them. Neither party may assign this Declaration without the prior written consent of the other party, except that Support Provider may assign accounts receivable to a financial institution.
