LEGAL SUPPORT LETTER

This Legal Support Letter (the "Letter") is made effective as of by and between Client Name: with address (the "Client"), and Legal Service Provider Name: with address (the "Provider").

RECITALS

WHEREAS, the Client seeks legal advice and support regarding the matter described below and desires to engage the Provider to perform such services under the terms set forth in this Letter; and

WHEREAS, the Provider represents that it possesses the qualifications, experience and professional licenses necessary to render the legal support requested and will perform services in accordance with applicable professional rules of conduct; and

WHEREAS, the parties intend that this Letter memorialize the scope, terms, fees and conditions of the Provider's engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. The Provider shall provide legal support services to the Client including consultation, legal research, preparation and review of documents, negotiation assistance, and limited representation as expressly agreed in writing. The specific matter for which services will be provided is described as:

1.2 Limitations. The Provider shall not commence litigation or enter into a settlement that binds the Client without the Client’s prior written consent. The Provider will notify the Client of material developments and will act only within the scope expressly authorized by the Client.

2. TERM AND TERMINATION

2.1 Term. This engagement shall commence on the effective date set forth above and shall continue until the earlier of completion of the services described herein or termination pursuant to this Section.

2.2 Termination. Either party may terminate this Letter upon days' prior written notice to the other party. Termination by the Client does not relieve the Client of the obligation to pay for services rendered and costs incurred prior to termination.

3. FEES, RETAINER AND EXPENSES

3.1 Fee Arrangement. The parties agree that fees will be charged as indicated below (select one and complete applicable fields):

3.2 Retainer. If a retainer is required, Client shall pay a retainer of to be held in the Provider's trust account and applied to fees and costs as billed. Any unused retainer will be returned to the Client upon final accounting.

3.3 Expenses. Client shall reimburse Provider for reasonable out-of-pocket expenses incurred in connection with the engagement, including filing fees, courier charges, travel, expert fees, and similar items, subject to prior approval for extraordinary items.

4. CONFIDENTIALITY AND PRIVILEGE

4.1 Confidential Information. The Provider shall maintain in confidence all non-public information obtained from the Client in the course of the engagement and shall not disclose such information except as required by law, court order, or to the extent necessary to provide the services described herein.

4.2 Attorney-Client Privilege. Communications between the Client and Provider for the purpose of obtaining legal advice are intended to be protected by the attorney-client privilege and work-product doctrine to the fullest extent permitted by law. No waiver of privilege shall occur except by the Client in writing or by circumstances beyond the Provider's reasonable control.

5. CONFLICTS OF INTEREST

5.1 Provider represents that, after reasonable inquiry, there are no current conflicts of interest that would preclude representation in the matter described, except as disclosed below:

5.2 If a conflict is later identified that materially affects the Provider’s ability to represent the Client, the Provider will promptly notify the Client and, if necessary, withdraw in accordance with professional obligations.

6. LIMITATION OF LIABILITY; INDEMNIFICATION

6.1 Limitation of Liability. Except to the extent prohibited by applicable law, the Provider's liability to the Client for any claim arising out of or relating to this engagement shall be limited to direct damages not to exceed the total fees actually paid by the Client to the Provider under this Letter. Neither party shall be liable to the other for consequential, incidental, special or punitive damages.

6.2 Indemnification. The Client agrees to indemnify, defend and hold harmless the Provider and its partners, employees and agents from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from the Client's actions, representations, omissions, or failure to disclose material information to the Provider.

7. RECORDS, DOCUMENTS AND FILES

7.1 Client Files. The Provider will retain the file for a commercially reasonable period consistent with professional obligations. Original client documents will be returned upon request. The Client may obtain copies of file materials upon payment of reasonable copying and delivery costs.

8. NOTICES

All notices required or permitted under this Letter shall be in writing and delivered to the addresses set forth below (or to such other address as either party may designate by notice in accordance with this Section).

9. AMENDMENT; WAIVER; COUNTERPARTS

9.1 Amendment. No amendment or modification of this Letter shall be effective unless in writing and signed by both parties.

9.2 Waiver. The failure of either party to enforce any provision of this Letter shall not constitute a waiver of future enforcement of that or any other provision.

9.3 Counterparts. This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Letter shall be governed by and construed in accordance with the laws of the jurisdiction agreed below without regard to conflict of laws principles.

10.2 Entire Agreement. This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and communications, whether oral or written.

10.3 Severability. If any provision of this Letter is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to best effectuate the parties’ intent.
