1.2 The Supporting Party is not obligated to undertake investigation, litigation, or to produce witness testimony beyond the Supporting Statement, except as otherwise agreed in writing by the Supporting Party. Any additional assistance requested by the Recipient, including attendance at deposition or trial, shall be subject to separate agreement regarding scope, compensation, and scheduling.

2. REPRESENTATIONS AND WARRANTIES

2.1 Each party represents and warrants that it has full power and authority to enter into this Letter and to perform its obligations hereunder, that its execution of this Letter has been duly authorized, and that this Letter constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms.

2.2 The Supporting Party represents that, to the best of its knowledge after reasonable inquiry, the factual statements set forth in the Supporting Statement will be true and accurate in all material respects as of the date of the Supporting Statement. The Supporting Party does not warrant future events or outcomes.

3. CONDITIONS AND LIMITATIONS

3.1 The Supporting Party's obligation to provide the Supporting Statement is subject to the Recipient's reimbursement of reasonable costs and expenses reasonably incurred by the Supporting Party in connection with preparing the Supporting Statement, if any. Payment terms shall be agreed in writing in advance.

3.2 The Supporting Party may redact or withhold any portions of documents or information that it reasonably determines are privileged, confidential, or protected from disclosure by law. The Supporting Party shall identify redactions and provide a general description of the basis for each redaction.

4. CONFIDENTIALITY

4.1 The Recipient shall treat the Supporting Statement and any nonpublic documents provided by the Supporting Party as Confidential Information and shall not disclose such materials except (a) as required by compulsion of law, regulation, or court order, (b) to counsel or advisors who agree to be bound by confidentiality obligations no less protective than those in this Letter, or (c) with the prior written consent of the Supporting Party.

4.2 Prior to any compelled disclosure, the Recipient shall, where legally permissible, provide the Supporting Party prompt notice and cooperate in seeking a protective order or other appropriate remedy.

5. USE AND LIMITATION OF LIABILITY

5.1 The Recipient may use the Supporting Statement only for the specific purpose described in the Recitals and only in the jurisdictions expressly identified: . Any other use requires prior written consent of the Supporting Party.
