What a Legal Surrogacy Agreement Is

A Legal Surrogacy Agreement is a written contract that defines the rights, responsibilities, and expectations between intended parents and a surrogate mother (and any agency or clinic involved). It typically addresses medical decision-making, prenatal care, compensation and expense reimbursements, parental rights and custody after birth, embryo or gamete ownership, and procedures for breach or termination. Because surrogacy law varies by state, the agreement also allocates choice of governing law, requirements for counsel, and necessary acknowledgments for assisted reproductive technology. Parties often execute the agreement with notarization and signed waivers to support enforceability.

Why a Clear Agreement Matters

The Legal Surrogacy Agreement provides clear allocation of parental rights, medical decision-making, and financial responsibilities, reducing dispute risk and facilitating court orders or pre-birth parentage filings. It documents informed consent and outlines remedies for breaches, improving predictability for all parties.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

Typical users include intended parents, surrogates, fertility clinics, and attorneys coordinating reproductive arrangements.

  • Intended parents: individuals or couples arranging for gestational or traditional surrogacy through clinic or private arrangement.
  • Surrogates: gestational carriers who agree to pregnancy, medical procedures, and post-birth parental transfers under contract.
  • Attorneys and agencies: draft, review, and coordinate court filings, parental orders, and compliance with state statutes.

Parties should consult counsel and confirm state requirements before signing to ensure enforceability and compliance.

Core Sections to Include in a Professional Agreement

A professional Legal Surrogacy Agreement organizes recitals, roles, medical plans, financial terms, parental transfers, and dispute mechanisms to reduce ambiguity and support court recognition.

Parties & Recitals

Identify intended parents, surrogate, donors, and agency; include background facts, intentions for parentage, and any previous ART cycles or embryo provenance to provide factual context for later court orders.

Medical Protocols

Detail IVF protocols, embryo transfer plans, prenatal care provider, required screenings, and emergency consent procedures; specify limits on elective procedures and who may make urgent medical decisions.

Compensation

Set fixed compensation amounts, detailed reimbursement categories for medical and nonmedical expenses, payment schedule, escrow or trust arrangements, tax reporting responsibilities, and remedies for missed or disputed payments.

Parental Rights

Specify intended parents' pre-birth or post-birth parentage steps, consent language for relinquishment if applicable, and steps to obtain court-issued parentage or adoption orders, including necessary petitions and timelines.

Confidentiality

Include nondisclosure terms covering medical records, donor identities, and publicity; define permitted disclosures for medical care and legal proceedings or media inquiries and any surviving publicity rights.

Dispute Resolution

Provide mediation and arbitration procedures, governing law and venue, indemnities, limits on remedies, and express steps for breach, termination, or incapacity of a party, including timing and notice requirements.

Step-by-Step: Completing the Agreement

Complete the Legal Surrogacy Agreement in order to document consent, medical plans, and post-birth parentage processes.

  • 01
Gather parties' IDs: Collect government IDs and proof of marital status before drafting.
  • 02
Outline medical plan: Document ART protocols, prenatal care provider, and contingency plans.
  • 03
Agree compensation: Set amounts, reimbursement categories, schedule, and tax handling.
  • 04
Sign and notarize: Execute with signatures, dates, and required notarization or witness.

Where to Send and File the Executed Agreement

Routing the executed agreement depends on state practices: counsel retention, court filings for parentage, and hospital or registrar notification after birth.

  • Retain counsel: Provide executed copy to each party's attorney and clinic.
  • File for parentage: Petition family court or juvenile court for pre-birth parentage order.
  • Hospital notification: Give hospital a copy before delivery for birth registration.
  • Record birth certificate: Submit orders to vital records office to list intended parents.
