LEGAL TEAM CONTRACT

This Legal Team Contract ("Agreement") is entered into as of by and between Client Name: and Legal Team Name: .

RECITALS

WHEREAS, Client desires to retain Legal Team to provide legal services described herein and Legal Team represents that it is qualified and willing to perform such services in accordance with the terms of this Agreement;

WHEREAS, Legal Team will provide legal advice, representation, and related services through attorneys and professionals retained by Legal Team, consistent with applicable professional rules of conduct;

WHEREAS, the parties desire to set forth their agreement with respect to the scope of representation, compensation, confidentiality, and related terms.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client hereby engages Legal Team to perform legal services described in Section 1.2 and Legal Team accepts such engagement on the terms set forth in this Agreement.

1.2 Scope of Services. Legal Team will perform the services set forth below and as further agreed in writing by the parties:

3. FEES AND BILLING

3.1 Fee Structure. Client shall pay Legal Team as follows (select applicable):

Hourly rates as billed by timekeepers;
Flat fee for defined services;
Contingency fee (specified in separate addendum).

3.2 Billing and Payment. Legal Team will invoice Client monthly (unless otherwise agreed). Payment is due within days of invoice receipt. Disputed items must be raised in writing within days of invoice date.

4. EXPENSES

Client shall reimburse Legal Team for out-of-pocket expenses reasonably incurred in connection with the representation, including filing fees, couriers, travel, deposition costs, expert fees, and third-party vendor charges. Legal Team will obtain Client approval for outlays exceeding unless otherwise required by law or urgency.

5. CONFIDENTIALITY AND PRIVILEGE

5.1 Confidential Information. Each party shall hold in confidence all non-public information received from the other party that is designated as confidential or that a reasonable person would deem confidential under the circumstances.

5.2 Attorney-Client Privilege. Legal Team's communications relating to legal advice are protected by attorney-client privilege and work-product doctrine. Legal Team will take reasonable steps to preserve privilege; however, no waiver of privilege will occur except upon Client's informed consent in writing.

6. CONFLICTS OF INTEREST

Legal Team represents that, after reasonable inquiry, it has no known conflicts that would prohibit representation. If a conflict arises during representation, Legal Team will promptly notify Client and take steps to resolve the conflict consistent with applicable professional obligations.

7. CLIENT COOPERATION

Client agrees to cooperate with Legal Team, provide timely and accurate information, authorize necessary disclosures, and execute documents as reasonably requested. Failure to cooperate may result in suspension or termination of services.

8. RECORDS; DOCUMENTS

All original client files and documents delivered to Legal Team remain Client property, except that Legal Team may retain copies of files and records for its files. Client may request delivery of original files upon payment of outstanding fees and expenses.

9. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Legal Team retains ownership of models, templates, software, and other intellectual property used in providing services; Client is granted a nonexclusive license to use such materials solely for Client's internal purposes in connection with this engagement.

10. TERMINATION

Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure within thirty (30) days after receipt of written notice specifying the breach. Legal Team may withdraw earlier if required by professional rules or court order.

Upon termination, Client will pay Legal Team for services performed and expenses incurred through the effective date of termination and for reasonable wind-down costs.

11. INDEMNIFICATION

Client shall indemnify and hold harmless Legal Team and its partners, attorneys, and employees from and against any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) resulting from third-party claims arising out of Client's breach of this Agreement, misrepresentations, or willful misconduct.

12. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive, or exemplary damages. Legal Team's aggregate liability for any claim arising out of this Agreement shall not exceed the fees paid by Client to Legal Team under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

13. INSURANCE

Legal Team shall maintain professional liability insurance at levels consistent with industry standards and provide proof of such insurance upon reasonable request by Client.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice):

15. AMENDMENTS; WAIVER

Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver.

16. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid one that achieves the original intent to the greatest extent permitted by law.

17. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that state for disputes arising under this Agreement.

18. ENTIRE AGREEMENT

This Agreement, together with any written exhibits or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

19. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

ADDITIONAL PROVISIONS

The parties may attach schedules identifying specific matters, budgets, and staffing plans. Any schedules or addenda expressly incorporated by reference are part of this Agreement.
