  2. The information set forth in this Declaration is true, accurate and complete to the best of Declarant's knowledge, and no material fact has been omitted that would render the statements herein misleading.
  3. To the extent applicable, Declarant has used the Mark in commerce as described above and, where the Mark is registered, the Mark remains in use and has not been abandoned; or if not in use, Declarant has a bona fide intent to use the Mark in commerce consistent with the laws applicable to the Jurisdiction of record.

5. WARRANTIES, COVENANTS AND INDEMNITY

Declarant warrants that Declarant has full authority to make this Declaration and covenants to defend, indemnify and hold harmless Recipient, its officers, directors, agents and assigns from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of a breach of any representation or warranty contained herein or arising from conflicting third party rights not disclosed to Recipient.

6. ASSIGNMENTS AND ENCUMBRANCES

Declarant shall promptly notify Recipient in writing of any assignment, transfer, license, security interest, lien, or other encumbrance affecting the Mark. Failure to provide notice shall be a breach of this Declaration and shall entitle Recipient to seek all available remedies.

7. NOTICES

Any notice, demand or communication required or permitted under this Declaration shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this section.

8. AMENDMENTS; WAIVER

No amendment or modification of this Declaration shall be effective unless in writing and signed by both parties. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach.

9. GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles.

10. ENTIRE AGREEMENT; SEVERABILITY
