LEGAL TRACKER FORM

This Legal Tracker Form (the "Agreement") is made and entered into as of by and between Client Name: with primary address: and Legal Provider Name: with primary address: .

Recitals

WHEREAS, Client requires a documented and auditable record of legal matters, deadlines, and assigned responsibilities to ensure timely management and consistent oversight; and

WHEREAS, Legal Provider maintains systems and personnel capable of recording, monitoring, and reporting on legal matters and will act as the designated tracking representative for matters listed in this Agreement; and

WHEREAS, the parties desire to set forth the procedures, responsibilities, confidentiality obligations and recordkeeping practices relating to the maintenance and use of the matter tracking records.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. Definitions

1.1 "Matter" means a discrete legal engagement, claim, transaction, regulatory filing, or compliance issue recorded in the tracker and identified by a unique Matter ID. 1.2 "Tracker Records" means the written or electronic entries, attachments, status updates, and audit trail maintained pursuant to this Agreement. 1.3 "Responsible Individual" means the person designated in a Tracker Record as having primary responsibility for managing the Matter.

2. Scope of Tracking

2.1 The Tracker Records shall include, at minimum, for each Matter: Matter ID, Matter Title, Matter Description, Client Contact, Responsible Individual, Key Dates (open date, anticipated close date, court or regulatory deadlines), Status, and a log of material actions and document references. 2.2 Legal Provider shall maintain the Tracker Records in a manner sufficient to demonstrate the chronology of actions and to support audit and compliance reviews.

3. Matter Log

The parties record the initial set of Matters below. Each Matter entry shall be updated in accordance with Section 4 and appended to the Tracker Records.

4. Updates; Reporting; Audit Trail

4.1 Legal Provider shall enter material updates to Tracker Records within a commercially reasonable time and, in all events, within two (2) business days of a material event or instruction from Client. Each update shall include the date, author, description of action taken, and any documents referenced. 4.2 Legal Provider shall provide periodic status reports in the format agreed between the parties, and shall preserve an immutable audit trail for all edits to Tracker Records sufficient to reconstruct the timing and substance of changes.

5. Confidentiality and Use of Tracker Records

5.1 All Tracker Records are Confidential Information. Each party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential materials, but no less than reasonable care. 5.2 Tracker Records shall be used solely for the purposes of managing matters and fulfilling obligations under this Agreement. Disclosure to third parties is permitted only to the extent necessary for legal representation, compliance, or as required by law, and then only after notifying the other party where permissible.

6. Data Security and Retention

6.1 Legal Provider shall implement administrative, technical and physical safeguards to protect Tracker Records against unauthorized access, alteration, or destruction. 6.2 Tracker Records shall be retained for the retention period agreed by the parties or, absent agreement, for a period of seven (7) years from the later of matter closure or final disposition, unless a longer retention period is required by applicable law.

7. Records Correction and Dispute

7.1 Either party may request correction of inaccuracies in Tracker Records by providing written notice specifying the nature of the dispute. 7.2 Upon receipt of a request, Legal Provider shall investigate and, if appropriate, correct or annotate the record within five (5) business days. Disputed entries shall be preserved along with annotations pending final resolution.

8. Indemnification and Limitation of Liability

8.1 Each party shall indemnify the other for claims arising from its own willful misconduct or gross negligence in maintaining or using Tracker Records. 8.2 Except for breaches of confidentiality or willful misconduct, neither party shall be liable for consequential, incidental, or punitive damages arising from the use or reliance on Tracker Records; total liability for any claim related to this Agreement shall not exceed the fees actually paid under this Agreement during the preceding twelve (12) months.

9. Notices

Notices under this Agreement must be in writing and delivered to the addresses set forth below or to such other address as either party designates by notice. Notice is effective upon delivery when delivered by hand, courier, or confirmed electronic transmission and three (3) business days after deposit in certified mail.

10. Amendments; Waiver; Counterparts

10.1 No modification of this Agreement is effective unless in writing and signed by both parties. 10.2 Failure or delay to enforce any provision shall not constitute a waiver. 10.3 This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one agreement.

11. Governing Law; Entire Agreement; Severability

11.1 This Agreement shall be governed by and construed in accordance with the laws of the state identified for governing_law below without regard to conflict of laws principles. 11.2 This Agreement constitutes the entire agreement between the parties with respect to Tracker Records and supersedes prior negotiations and understandings. 11.3 If any provision is determined invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Certifications

Each signatory below represents and warrants that: (a) they have authority to execute this Agreement on behalf of the party for whom they sign; (b) the information provided in Tracker Records is maintained in accordance with the policies described herein; and (c) they will comply with applicable laws and professional obligations in maintaining and disclosing Tracker Records.
