LEGAL TRACKER WARRANT

RECITALS

WHEREAS, the Company desires to grant to the Holder the right to purchase shares of the Company's capital stock on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the premises and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

2. GRANT OF WARRANT

Subject to the terms and conditions of this Warrant, the Company hereby grants to the Holder the right and option to purchase, and the Holder hereby is granted the right to purchase, up to the Warrant Shares at the Exercise Price, subject to adjustment as provided in this Warrant.

3. EXERCISE

3.1 Method of Exercise. The Holder may exercise this Warrant in whole or in part by delivering to the Company at its notice address written notice of exercise signed by the Holder specifying the number of Shares to be purchased and accompanied by payment of the aggregate Exercise Price for such Shares in lawful money of the United States or by wire transfer. Notice of exercise shall be delivered to the Company at:

Upon exercise in accordance with this Section 3 and receipt by the Company of the Exercise Price, the Company shall promptly, and in any event within reasonable business days, issue to the Holder a certificate representing the number of Shares so purchased or make an appropriate book-entry notation evidencing issuance.

4. PAYMENT; WITHHOLDING

Payment of the Exercise Price shall be made in cash, certified check, or wire transfer to an account designated by the Company. The Company may deduct or withhold from amounts otherwise payable to the Holder such amounts as the Company determines are required to be withheld by applicable law for taxes, and the Company shall have the right to require the Holder to satisfy any federal, state or local withholding obligations prior to the issuance of the Shares.

5. TERM; EXPIRATION

This Warrant shall be exercisable at any time from the date hereof until the close of business on the Expiration Date, at which time any unexercised portion of this Warrant shall automatically terminate and be of no further force or effect.

6. ADJUSTMENT OF SHARES

If the Company effects a recapitalization, subdivision, combination, stock dividend, or other similar change in its capital structure affecting the Shares, the aggregate number of Warrant Shares and/or the Exercise Price shall be adjusted proportionately to reflect such change. In the event of any reorganization, merger, sale of substantially all assets, or consolidation of the Company, Holder shall be entitled to receive upon exercise of this Warrant the number and kind of shares or securities or other property which Holder would have received had Holder exercised this Warrant immediately prior to such transaction.

7. TRANSFERABILITY

This Warrant is transferable by the Holder only in compliance with applicable securities laws and any transfer restrictions set forth in the Company's organizational documents or any shareholders' agreement. The Company may require, as a condition to any transfer, that the proposed transferee provide representations and agreements reasonably requested by the Company.

8. REPRESENTATIONS AND WARRANTIES

8.1 Company. The Company represents and warrants that (a) it is duly organized, validly existing and in good standing under its formation laws; (b) the issuance of the Warrant has been duly authorized by all necessary corporate action; and (c) the Shares issuable upon exercise of this Warrant have been duly reserved for issuance and, when issued in accordance with this Warrant, will be validly issued, fully paid and nonassessable.

8.2 Holder. The Holder represents and warrants that (a) it has full power and authority to execute and deliver this Warrant and to perform its obligations hereunder; and (b) the execution, delivery and performance of this Warrant by the Holder will not violate any agreement to which the Holder is a party.

9. COVENANTS

The Company covenants that it will take all corporate and administrative actions reasonably necessary to issue the Shares upon exercise of this Warrant without delay, including complying with legend removal procedures and taking such actions as reasonably requested by the Holder except where prohibited by applicable law.

10. NOTICES

All notices, requests, demands and other communications under this Warrant shall be in writing and shall be delivered to the addresses provided below or to such other address as either party may designate by notice to the other in accordance with this Section.

11. GOVERNING LAW

This Warrant shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

12. ENTIRE AGREEMENT; SEVERABILITY

This Warrant constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating thereto.
