What a Legal Trade Secret Affidavit Is and When It’s Used

A Legal Trade Secret Affidavit is a sworn written statement used to identify information a company treats as a trade secret, describe confidentiality measures, and provide factual foundation for litigation or protective orders. It typically accompanies pleadings, supports requests for injunctive relief, or documents a claimant’s efforts to preserve secrecy. The affidavit is signed under penalty of perjury and often notarized; it should clearly describe the trade secret, the affiant’s knowledge, the steps taken to maintain secrecy, and any harm from disclosure.

Why a Trade Secret Affidavit Matters for Protection and Litigation

A well-prepared affidavit establishes a factual record that a court can evaluate for protective measures and preliminary relief, and it documents the affiant’s knowledge and secrecy practices to resist challenges to trade secret status.

Why a Trade Secret Affidavit Matters for Protection and Litigation

Who Typically Prepares and Signs This Affidavit

Different parties may prepare or sign a Trade Secret Affidavit depending on the case stage and the information holder’s role.

  • In-house counsel and outside litigators who draft affidavits linking facts to legal claims and confidentiality assertions.
  • Company executives, product managers, or engineers who can verify origin, value, and secrecy measures for the information.
  • Plaintiffs and defendants in trade secret disputes who need to document their versions of events and protective steps taken.

Choose signatories who have direct knowledge of the facts; affidavits should reflect firsthand knowledge rather than hearsay or speculation.

Core Elements to Include in a Professional Trade Secret Affidavit

Include discrete, verifiable sections that link facts to legal standards so the affidavit supports protective relief and evidentiary uses.

Caption

Court and case caption identifying the matter, docket number, and whether the affidavit supports a motion, complaint, or protective order.

Affiant Identification

Name, job title, employer, and a short statement establishing the affiant’s role and how they have direct knowledge of the trade secret facts.

Trade Secret Description

A focused, non-overbroad description identifying specific technical details, formulas, processes, or business information claimed as secret.

Secrecy Measures

Concrete steps taken to protect the information such as access controls, NDAs, encryption, compartmentalization, and physical safeguards.

Economic Value

Explanation of the competitive or commercial value derived from keeping the information secret and harm likely from disclosure.

Signature & Notary

Affiant signature, date, and notarization block including notary printed name, commission number, and notarization date when required.

Draft: Assemble facts, exhibits, and concise trade secret description.
  • 02
Review: Have counsel verify legal sufficiency and confidentiality language.
  • 03
Sign: Affiant signs under penalty of perjury in presence of notary if required.
  • 04
File/Serve: File with the court or attach to the motion and serve opposing counsel per rules.

Legal Risks and Penalties If an Affidavit Is Incorrect

Perjury Exposure: False statements risk criminal perjury charges
Evidence Exclusion: Unreliable affidavit may be excluded from evidence
Sanctions: Court may impose sanctions for improper filings
Waiver: Poorly described secrets may lose trade secret protection
Privilege Loss: Over-disclosure can forfeit privilege claims
Spoliation Risk: Failure to preserve exhibits can create adverse inference

Common Mistakes to Avoid When Preparing the Affidavit

  • Using ambiguous descriptions that reveal the secret or are so broad they invite challenge; be specific without disclosing unnecessary detail.
  • Failing to connect secrecy measures to the claimed trade secret, which weakens assertions of reasonable efforts to maintain confidentiality.
  • Submitting unsigned or improperly notarized affidavits, resulting in rejection or evidentiary challenges by the court.
  • Attaching unmarked exhibits without a clear chain of custody or exhibit references, making corroboration difficult during discovery.

Illustrative Scenarios Where an Affidavit Clarified Secrecy

These concise examples show how an affidavit supports protective relief and preserves confidential information during litigation.

Product Process Dispute

A lead engineer described a manufacturing process in precise terms to establish uniqueness.

  • The affidavit linked the process to restricted access logs.
  • The court accepted the affidavit as support for a temporary protective order while limiting public disclosure of technical exhibits.

Customer List Protection

A sales director attested to the method of compiling a client list and its economic value.

  • The affidavit documented NDAs and segmented access.
  • That factual record helped the plaintiff obtain a sealing order and prevented public release of detailed customer exhibits.
