LEGAL TRADE TERMS AGREEMENT

This Legal Trade Terms Agreement ("Agreement") is entered into as of by and between Party A: , a organized under the laws of , with principal place of business at ; and Party B: , a organized under the laws of , with principal place of business at .

RECITALS

WHEREAS, Party A engages in the manufacture, supply, or distribution of goods and/or services described as:

WHEREAS, Party B desires to purchase and receive such goods and/or services under the trade terms and conditions set forth herein; and

WHEREAS, the parties wish to establish a uniform framework of commercial terms governing pricing, delivery, risk of loss, inspection, payment, warranties and related obligations.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Goods" means the products, materials or services set forth in this Agreement or in individual purchase orders issued pursuant hereto.
1.2 "Invoice" means a written or electronic invoice submitted by a party in accordance with Section 4.
1.3 "Delivery" means the transfer of possession of the Goods in accordance with the applicable Incoterm selected by the parties or as otherwise agreed in writing.

2. TRADE TERMS

2.1 Applicable Terms. The trade terms for each shipment of Goods shall be as agreed in writing between the parties and incorporated into the relevant purchase order. Absent written agreement, Delivery shall be FCA (named place) and title and risk of loss shall pass as provided in Section 6.

2.2 Price Adjustments. Prices stated in any purchase order are firm for the quantity and delivery schedule specified. Any request to change price by either party must be documented in writing and signed by authorized representatives of both parties to be effective.

3. PRICES AND PAYMENT

3.1 Payment Terms. Unless otherwise agreed in writing, payment is due within days from the date of Seller's Invoice. Invoices shall reference the related purchase order number.

3.2 Late Payments. Overdue amounts shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Late payment does not relieve Buyer of its obligations to accept deliveries.

4. INVOICING AND DOCUMENTATION

4.1 Each Invoice must include the purchase order number, item description, quantity, unit price, total amount, applicable taxes, shipping marks and any certificates or test reports required by the purchase order.

4.2 Disputed Items. If Buyer disputes any portion of an Invoice in good faith, Buyer shall promptly notify Seller in writing stating the reason for dispute and pay the undisputed portion when due. The parties shall negotiate in good faith to resolve the dispute.

5. DELIVERY, TITLE AND RISK

5.1 Delivery Schedule. Seller shall use commercially reasonable efforts to meet agreed delivery schedules. Time is of the essence only where specifically agreed in writing.

5.2 Title and Risk. Title and risk of loss shall pass to Buyer as specified in the agreed trade term. If not specified, title and risk of loss pass to Buyer upon physical delivery to Buyer’s carrier at Seller’s shipping facility.

6. INSPECTION AND ACCEPTANCE

6.1 Buyer shall inspect Goods within a reasonable period after receipt. Nonconformities shall be reported in writing within days of receipt. Failure to provide timely written notice shall constitute acceptance except for latent defects which were not reasonably discoverable.

6.2 Remedies. For nonconforming Goods, Seller shall at its option repair or replace nonconforming Goods, or issue a credit. Repair, replacement or credit shall be Buyer's sole remedy for such breach, subject to Section 10 (Limitation of Liability).

7. TAXES, DUTIES AND COMPLIANCE

7.1 Taxes. Unless otherwise stated, prices exclude taxes, duties, levies or governmental charges. Buyer shall pay all sales, use, excise, import or export duties applicable to the transaction, unless Seller is required by law to collect them, in which case Buyer shall reimburse Seller.

7.2 Compliance with Laws. Each party shall comply with all applicable export, import, customs and trade control laws and regulations governing the Goods and transactions under this Agreement.

8. WARRANTIES

8.1 Seller Warranty. Seller warrants that, for a period of from delivery, the Goods shall conform to specifications and be free from defects in material and workmanship. Seller's obligation under this warranty is limited to repair or replacement of nonconforming Goods.

8.2 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 8.1, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. LIMITATION OF LIABILITY

9.1 Except for Seller's indemnification obligations and claims arising from gross negligence or willful misconduct, neither party shall be liable for incidental, consequential, indirect, special or punitive damages. Seller's aggregate liability for any claim arising out of or related to this Agreement shall not exceed the total amount paid by Buyer for the specific Goods giving rise to the claim.

10. INDEMNIFICATION

10.1 Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against claims, liabilities, losses and expenses arising out of the indemnifying party's negligence, willful misconduct or breach of its obligations under this Agreement.

11. CONFIDENTIALITY

11.1 Each party shall keep confidential and shall not disclose to any third party any non-public proprietary information received from the other party in connection with this Agreement, except as required by law or to its employees and advisors on a need-to-know basis under confidentiality obligations no less protective than this Section.

12. FORCE MAJEURE

12.1 No party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, government actions, labor disputes, shortages, epidemics or transportation interruptions. The affected party shall notify the other promptly and use commercially reasonable efforts to mitigate the impact.

13. TERM AND TERMINATION

13.1 This Agreement shall commence on the Effective Date and continue until terminated by either party upon thirty (30) days' written notice for convenience, or immediately by either party for material breach not cured within thirty (30) days after written notice of such breach.

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the following addresses (or to such other address as either party designates by notice):

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties:

15.2 Entire Agreement. This Agreement, together with any purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.

15.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

15.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No waiver shall be effective unless in writing.

15.5 Counterparts. This Agreement may be executed in counterparts, each of which shall constitute an original, and all of which together shall constitute one and the same instrument.
