6. Confidentiality

The Authorized Party shall keep confidential and shall not disclose any non-public information received from the Consenting Party in connection with the Transaction except (i) to the extent required by law or regulatory authority, or (ii) to the extent necessary to third parties engaged to effectuate the Transaction, provided such third parties are bound by confidentiality obligations at least as protective as those contained herein.

9. Term and Termination

This Consent shall commence on the Effective Date and shall continue in full force and effect until:

(a) the earlier of completion of the Transaction or ; or (b) termination by either party upon thirty (30) days’ prior written notice to the other party, provided that termination shall not affect any actions already validly taken by the Authorized Party within the scope of authority granted prior to termination.

All notices, requests, demands and other communications required or permitted under this Consent shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice to the other party in accordance with this Section.

11. Governing Law; Venue

This Consent shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Consent.

12. Entire Agreement; Severability; Amendments; Waiver; Counterparts

This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. If any provision of this Consent is held invalid or unenforceable, such invalidity or unenforceability shall not affect the remaining provisions, which shall remain in full force and effect. No amendment to this Consent shall be effective except by a written instrument signed by both parties. No course of conduct or delay shall constitute a waiver of any right under this Consent unless made expressly in writing and signed by the waiving party. This Consent may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
