3.2 Payment terms: Unless otherwise agreed in writing, Provider may require deposit prior to commencement of transcription work. Final payment is due upon delivery. Late payment shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and Requesting Party shall be responsible for collection costs and reasonable attorneys' fees.

4. AUTHORIZATION AND CERTIFICATION

4.1 By signing below, Requesting Party certifies that it is authorized to request these transcripts on behalf of the identified party or parties in the underlying proceeding, and that Provider may proceed to transcribe and, where applicable, certify the transcripts for use in court or other proceedings.

4.2 Requesting Party acknowledges that Provider's certification shall reflect the reporter's record and that Provider's certification is limited to the accuracy and completeness of the verbatim transcript prepared from the official record or audio. Provider makes no representation regarding admissibility or weight of the transcript in any proceeding.

5. CONFIDENTIALITY AND USE

5.1 Transcript materials prepared by Provider shall be provided to Requesting Party for the limited purpose identified in this Request. Requesting Party agrees not to disclose, distribute, or publish the transcript to third parties except as required by law or court order without Provider's prior written consent unless such disclosure is to counsel of record or the court.

5.2 If the transcript contains sealed, privileged, or otherwise protected material, Requesting Party shall timely notify Provider and shall assume responsibility for redaction or protective order compliance as ordered by a court.

6. RETENTION, EXHIBITS, AND ORIGINALS

6.1 Provider's original shorthand notes, digital stenographic files, and audio recordings are the property of Provider unless otherwise agreed in writing. Provider will retain underlying notes and recordings for a period consistent with Provider's retention policy; Requesting Party may request copies at Requesting Party's expense.

7. NOTICES

7.1 All notices required or permitted under this Request shall be in writing and shall be delivered by hand, certified mail, or overnight courier to the contact information provided below.

8. AMENDMENT, WAIVER, COUNTERPARTS

8.1 This Request may be amended only by a writing signed by both parties. No waiver of any provision of this Request shall be effective unless in writing and signed by the party against whom enforcement is sought. This Request may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

9.1 Governing Law. This Request shall be governed by and construed in accordance with the substantive laws of the jurisdiction where the underlying proceeding was held, without regard to its conflicts of law principles, except where preempted by applicable federal law.

9.2 Entire Agreement. This Request constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, concerning the subject matter.

9.3 Severability. If any provision of this Request is held to be illegal, invalid, or unenforceable, such provision shall be modified to the extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed and the remainder of this Request shall remain in full force and effect.
