Legal Transfer Authorization

This Legal Transfer Authorization (the Authorization) is made effective as of the day of , by and between Transferor Name: (hereinafter "Transferor"), and Transferee Name: (hereinafter "Transferee"). Transferor and Transferee are collectively referred to as the Parties.

RECITALS

WHEREAS, Transferor is the lawful owner or permitted holder of certain rights, assets, accounts, and/or interests described herein and has authority to effect the transfer of such interests; and

WHEREAS, Transferee desires to receive such rights, assets, accounts, and/or interests and Transferor desires to transfer and assign such rights, assets, accounts, and/or interests to Transferee upon and subject to the terms and conditions set forth in this Authorization; and

WHEREAS, the Parties intend that the transfer effected by this Authorization shall be binding, effective, and sufficient to instruct third parties, custodians, registrars, depositories, banks, and other holders of records (each, a Recordholder) to reflect the transfer as required by the terms of this Authorization.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. AUTHORIZATION

Transferor hereby authorizes and directs any Recordholder, agent, or custodian to transfer, assign, deliver, release, or otherwise convey the assets, rights, accounts, or interests described in Section 2 to Transferee or to such persons or entities as Transferee may designate in writing (each, a Designee), in accordance with the terms of this Authorization. Transferor authorizes the execution and delivery of any instruments, endorsements, powers of attorney, or other documents reasonably necessary to effectuate the transfer.

Transferor shall execute and deliver to Transferee all documents and instruments reasonably necessary to effect the transfer, including but not limited to assignments, endorsements, transfer forms, certificates, or instruments of conveyance. Transferee shall be responsible for delivering any acceptance documents required by a Recordholder. Transferor and Transferee shall cooperate in good faith to obtain any consents or approvals required by third parties.

If any Recordholder requires additional documentation, Transferor authorizes Transferee to prepare, complete, or sign such documentation on Transferor’s behalf to the extent necessary and permitted by applicable law, provided that Transferee shall first obtain written consent from Transferor for the specific documents to be executed.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization (if applicable); (b) it has full power and authority to enter into and perform its obligations under this Authorization; (c) the execution, delivery and performance of this Authorization has been duly authorized by all necessary action; and (d) this Authorization constitutes a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

5. CONDITIONS PRECEDENT

The obligations of the Parties under this Authorization are subject to the satisfaction or waiver in writing of the following conditions precedent: receipt of all required corporate or other organizational approvals, receipt of any governmental or third‑party consents required by law, and delivery of all documents reasonably necessary to effect the transfer. The Parties shall promptly notify one another of the satisfaction or waiver of each condition precedent.

6. INDEMNIFICATION

Each Party (an Indemnifying Party) shall indemnify, defend and hold harmless the other Party and its affiliates and their respective officers, directors, employees and agents (each, an Indemnified Party) from and against any losses, claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or resulting from (a) any breach of the representations, warranties or covenants of the Indemnifying Party in this Authorization, or (b) any negligent or willful misconduct by the Indemnifying Party in connection with the performance of this Authorization.

7. EFFECT OF TRANSFER; RECORDS

Upon proper execution and delivery of all required instruments and compliance with the procedures set forth herein, Transferor intends that the transfer described in Section 2 shall be effective against Transferor, Transferee, and all Recordholders. Transferor agrees to execute any further documents reasonably requested by Transferee or a Recordholder to perfect or record the transfer.

All notices, demands, or other communications required or permitted under this Authorization shall be in writing and delivered to the Parties at the following addresses (or to such other address as a Party may designate by written notice):

9. FEES AND EXPENSES

Unless otherwise agreed in writing, each Party shall bear its own fees and expenses incurred in connection with the preparation, execution and performance of this Authorization. Any fees charged by Recordholders or third parties in connection with the transfer shall be borne by the Party expressly identified in writing by the Parties prior to incurrence of such fees.

10. GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the State specified below, without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts located in that State for the resolution of disputes arising under or in connection with this Authorization.

11. ENTIRE AGREEMENT

This Authorization, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the Parties relating to such subject matter.

12. SEVERABILITY

If any provision of this Authorization is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect and be enforceable to the fullest extent permitted by law.

13. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Authorization shall be effective unless set forth in a written instrument signed by the Parties. No failure or delay by any Party in exercising any right, power or remedy shall operate as a waiver thereof.

14. COUNTERPARTS; AUTHORITY

This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Execution and delivery by electronic means, including facsimile or electronic image of a handwritten signature, shall be deemed an original.
