RECITALS

WHEREAS, Client asserts an interest in the asset or right described as: (the "Asset"), and Transferee asserts a conflicting claim to the same Asset pursuant to Transfer Instrument No.: .

WHEREAS, the parties wish to record terms to resolve the conflict in good faith, to preserve rights pending resolution, and to establish procedures for transfer, escrow, indemnity, and final disposition of the Asset; and

WHEREAS, the parties desire to avoid protracted litigation and to set forth binding obligations concerning interim custody, escrow of proceeds, and a definitive resolution process.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below: "Agreement" means this document; "Asset" means the property or right described above; "Claim" means any asserted right, lien, encumbrance, or dispute affecting the Asset.

2. ACKNOWLEDGMENT OF CONFLICT

Each party acknowledges the other party's asserted interest in the Asset and agrees that a bona fide dispute exists concerning the validity, priority, or scope of the transfer of the Asset. Neither party shall make unilateral transfers of the Asset, or grant further rights or encumbrances, except as expressly permitted by this Agreement.

3. INTERIM CUSTODY, ESCROW, AND HOLDBACK

Unless otherwise ordered by a court of competent jurisdiction, the parties agree that the Asset, or proceeds derived therefrom, shall be held in escrow with Escrow Agent: on the following terms.

The escrow agent shall release the Asset or proceeds only upon: (a) written agreement of both parties, (b) final non-appealable court order, or (c) disposition pursuant to the dispute resolution procedure set forth in Section 4.

4. DISPUTE RESOLUTION PROCEDURE

The parties shall first attempt to resolve the Claim through good faith negotiation for a period of days beginning on the Effective Date. If negotiation fails, the parties shall submit the dispute to non-binding mediation within days, and if mediation does not resolve the dispute, to binding arbitration administered in accordance with the selected rules and venue identified in Section 11.

The parties agree that any decision from arbitration shall be final, binding, and enforceable in any court having jurisdiction.

5. CONDITIONS TO TRANSFER

Any transfer of title or rights in the Asset shall be conditioned upon: (a) full compliance with this Agreement; (b) satisfaction or resolution of all prior Claims; and (c) delivery of indemnities and releases as required by the non-transferring party. Proposed settlement or transfer terms shall be set forth in writing and attached as Exhibit A to this Agreement.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full authority to enter into this Agreement; (b) the person signing on its behalf is duly authorized; and (c) there are no pending agreements or judgments that would prevent performance of this Agreement except as disclosed in writing to the other party.

7. COVENANTS; COOPERATION

Each party covenants to cooperate reasonably and in good faith with the other, including executing additional documents, providing records and evidence necessary to resolve the Claim, and refraining from actions that would prejudice the other's position or frustrate the dispute resolution process.

8. INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of third-party claims that result from that party's breach of this Agreement, negligent acts, or misrepresentations concerning the Asset.

9. CONFIDENTIALITY

The parties agree to treat the terms of this Agreement, and all non-public information exchanged in connection with the resolution of the Claim, as confidential and not to disclose such information except to the extent required by law or to enforce this Agreement.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below by certified mail, courier, or personal delivery and shall be deemed effective upon receipt.

11. GOVERNING LAW; JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the county designated below for any action to enforce arbitration awards or seek provisional relief.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any breach shall be effective unless in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

14. COUNTERCLAIMS AND RELEASES

Except as otherwise provided in a signed settlement instrument, execution of a definitive settlement and release shall extinguish the parties' Claims set forth in the release, subject to the representations and indemnities contained therein.

15. MISCELLANEOUS

The parties agree to bear their own costs and attorneys' fees in connection with negotiating this Agreement, except as otherwise awarded by a court or arbitrator. Time is of the essence with respect to any time periods set forth herein only where expressly stated.
