LEGAL TRANSFER FORM

This Legal Transfer Form (the Agreement) is made and entered into as of Effective Date: by and between Transferor Name: (Transferor), and Transferee Name: (Transferee). Transferor and Transferee are sometimes referred to herein individually as a Party and collectively as the Parties.

Recitals

WHEREAS, Transferor owns or controls certain tangible and/or intangible assets, rights and interests described in Schedule A attached hereto (the Transferred Assets); and

WHEREAS, Transferee desires to acquire from Transferor, and Transferor desires to transfer and assign to Transferee, all of Transferor's right, title and interest in and to the Transferred Assets upon and subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties intend that the transfer effected by this Agreement shall be effective on the Effective Date and shall be consummated at the Closing as set forth herein.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Transferred Assets" means the assets, rights, contracts, accounts, intellectual property, records and other property expressly described in Schedule A and any assets otherwise transferred pursuant to this Agreement.

1.2 "Encumbrance" means any lien, claim, charge, security interest, easement, covenant, restriction or other third-party right affecting the Transferred Assets.

2. Transfer and Assignment

2.1 Transfer. Subject to the terms and conditions of this Agreement, on the Closing Date Transferor shall transfer, assign and convey to Transferee all of Transferor's right, title and interest in and to the Transferred Assets, free and clear of all Encumbrances except those expressly set forth in Schedule B.

2.2 Further Assurances. Transferor shall execute and deliver such instruments and take such further actions as may be reasonably necessary or desirable to effect, perfect or confirm the transactions contemplated hereby and to vest in Transferee the full benefit of the rights transferred.

3. Consideration

3.1 Purchase Price. As consideration for the transfer of the Transferred Assets, Transferee shall pay Transferor the sum of $ (the Purchase Price), subject to adjustments as set forth in this Agreement.

4. Closing

4.1 Closing Date and Location. The closing of the transactions contemplated by this Agreement (the Closing) shall occur on Closing Date: at such location as the Parties shall mutually agree.

4.2 Deliveries at Closing. At Closing, Transferor shall deliver executed instruments of assignment, bills of sale, certificates of title and such other documents necessary to transfer the Transferred Assets. At Closing, Transferee shall deliver the Purchase Price and any other consideration required by this Agreement.

5. Representations and Warranties of Transferor

Transferor represents and warrants to Transferee that, as of the Effective Date and as of the Closing Date: (a) Transferor is the sole legal and beneficial owner of the Transferred Assets with full right, power and authority to transfer them; (b) the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby do not and will not violate any agreement, law or order binding on Transferor; (c) there are no actions, suits or proceedings pending or, to Transferor's knowledge, threatened against Transferor that would reasonably be expected to materially impair the Transferred Assets; and (d) the Transferred Assets are not subject to any undisclosed Encumbrances except as set forth in Schedule B.

6. Covenants and Acknowledgements of Transferee

Transferee covenants that it shall cooperate with Transferor in good faith to effect the transactions contemplated by this Agreement, shall accept the Transferred Assets in their then condition subject to the representations and warranties herein, and shall assume only those liabilities expressly assumed in writing by Transferee at or prior to Closing.

7. Taxes and Costs

All transfer, documentary, sales and similar taxes and recording fees incurred in connection with the transfer of the Transferred Assets shall be borne by Transferor Transferee and any allocation among the Parties shall be set forth in writing at or prior to Closing.

8. Indemnification

8.1 Transferor Indemnity. Transferor shall indemnify, defend and hold harmless Transferee and its affiliates from and against any losses, damages, liabilities, claims or expenses (including reasonable attorneys' fees) arising out of any breach of Transferor's representations, warranties or covenants contained in this Agreement.

8.2 Transferee Indemnity. Transferee shall indemnify, defend and hold harmless Transferor and its affiliates from and against any losses, damages, liabilities, claims or expenses (including reasonable attorneys' fees) arising out of Transferee's acceptance of the Transferred Assets or out of Transferee's breach of this Agreement.

9. Remedies; Limitation of Liability

The Parties agree that the remedies at law for any breach of this Agreement may be inadequate and that either Party shall be entitled to seek specific performance or injunctive relief in addition to any other remedy. Except for willful misconduct or fraud, neither Party shall be liable for consequential or punitive damages.

10. Notices

All notices, requests, consents, claims, demands, waivers and other communications hereunder must be in writing and will be deemed to have been given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier, to the addresses set forth below or to such other address as a Party may specify by notice in accordance with this Section.

11. Amendments; Waiver; Counterparts

This Agreement may be amended only by a written instrument executed by both Parties. No waiver by any Party of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by the Party so waiving. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

12. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its principles of conflicts of laws. The Parties submit to the exclusive jurisdiction of state and federal courts located within that state for any action arising out of or relating to this Agreement.

13. Entire Agreement; Severability

This Agreement, together with all Schedules and exhibits hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable in any respect, the validity and enforceability of the remaining provisions shall not be affected thereby.
