LEGAL TRANSFER JOINDER

This Legal Transfer Joinder (the "Joinder") is entered into as of this day of , by and between Transferor Name: ("Transferor") and Transferee Name: ("Transferee").

RECITALS

WHEREAS, Transferor is the current holder of certain rights, interests and obligations under that certain agreement entitled , dated (the "Agreement");

WHEREAS, Transferor has agreed to transfer and assign to Transferee certain rights, title and interest described in the Agreement (the "Transfer"); and

WHEREAS, Transferee desires to join the Agreement and to assume the obligations of Transferor arising under the Agreement to the extent set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties hereby agree as follows:

1. JOINDER AND ASSUMPTION

1.1 Joinder. Effective as of the Effective Date (as set forth above), Transferee hereby joins as a party to the Agreement and agrees to be bound by all of the terms, covenants, obligations and liabilities of a "party" or similarly situated person under the Agreement to the same extent as Transferor was bound prior to the Transfer.

1.2 Assumption. Transferee expressly assumes and agrees to perform and discharge, when due, all obligations, covenants and liabilities of Transferor under the Agreement arising on or after the Effective Date, whether or not any such obligation accrued prior to the Effective Date.

2. TRANSFEROR'S CONTINUING OBLIGATIONS

2.1 Except as expressly released in writing by all parties to the Agreement, Transferor shall remain liable for any obligations of Transferor that arose prior to the Effective Date. Nothing in this Joinder shall be deemed to release or waive any rights or claims against Transferor existing prior to the Effective Date unless expressly set forth in a separate written instrument executed by the parties.

3. REPRESENTATIONS AND WARRANTIES

3.1 Representations of Transferor. Transferor represents and warrants that: (a) Transferor has good and marketable title to the rights being transferred, free and clear of liens and encumbrances except as disclosed in the Agreement; (b) no consent of third parties is required for the Transfer other than as already obtained; and (c) the execution and delivery of this Joinder and the consummation of the Transfer do not violate any material agreement to which Transferor is a party.

3.2 Representations of Transferee. Transferee represents and warrants that: (a) Transferee has full power and authority to enter into this Joinder and to perform its obligations hereunder; (b) the execution and delivery of this Joinder and the performance of Transferee's obligations will not violate any law, judgment, decree, order, or agreement binding on Transferee; and (c) this Joinder constitutes a legal, valid and binding obligation of Transferee enforceable in accordance with its terms.

4. COVENANTS

4.1 Cooperation. Each party shall execute and deliver any further instruments and take such further actions as may be reasonably necessary to give full effect to the Transfer and this Joinder.

4.2 No Release Implied. Except as expressly provided in a separate written release executed by all affected parties, no covenant in this Joinder shall be construed as an agreement to release any party from liabilities or obligations arising prior to the Effective Date.

5. INDEMNIFICATION

5.1 Indemnification by Transferee. Transferee shall indemnify, defend and hold harmless Transferor from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any breach by Transferee of its representations, warranties or covenants in this Joinder or any failure to perform obligations assumed hereunder.

5.2 Indemnification by Transferor. Transferor shall indemnify, defend and hold harmless Transferee from and against any and all losses, damages, liabilities, costs and expenses arising out of any breach by Transferor of its representations or warranties contained in this Joinder with respect to facts existing prior to the Effective Date.

6. NOTICES

Notices given under this Joinder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid, addressed to the notice addresses set forth above or to such other address as a party may designate by notice in accordance with this Section.

7. EFFECTIVENESS; BINDING EFFECT

This Joinder shall become effective upon execution by the parties and, upon such execution, shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

8. GOVERNING LAW; VENUE

This Joinder shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the county in which such state maintains its principal courthouse for any action arising out of or relating to this Joinder.

9. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER

9.1 Entire Agreement. This Joinder, together with the Agreement, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

9.2 Amendment. This Joinder may be amended only by a written instrument signed by the parties to be bound.

9.3 Severability. If any provision of this Joinder is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving, to the extent possible, the economic and legal effect of the invalid provision.

9.4 Waiver. No failure or delay by any party in exercising any right shall operate as a waiver of that right unless set forth in a written instrument signed by the waiving party.

10. COUNTERPARTS

This Joinder may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
