RECITALS

WHEREAS, Transferor is the lawful owner of, or has the right to assign, certain rights, titles, interests, obligations or claims described below (the Transferred Rights); and

For purposes of this Notice, capitalized terms not otherwise defined shall have the meanings ascribed to them in the underlying agreement identified in Section 6. "Transferred Rights" means all rights, titles and interests described in Section 2. "Effective Date" means the date specified above.

4. ASSUMPTION

Transferee hereby accepts the assignment and agrees to assume, perform and discharge, from and after the Effective Date, the obligations and liabilities expressly agreed in writing to be assumed by Transferee in connection with the Transferred Rights. Unless expressly assumed in writing, Transferee shall not be liable for any obligations of Transferor arising prior to the Effective Date, except as otherwise provided in this Notice or required by applicable law.

Transferor represents and warrants that (a) Transferor has good and marketable title to the Transferred Rights free and clear of liens and encumbrances, except as disclosed in writing to Transferee; (b) Transferor has full power and authority to execute and deliver this Notice and to perform its obligations hereunder; and (c) there are no pending actions, claims or proceedings known to Transferor that challenge the validity or effectiveness of this transfer.

Transferee represents and warrants that (a) it has full corporate or legal authority to accept the assignment contemplated by this Notice and to perform its obligations hereunder; and (b) its acceptance of the Transferred Rights does not violate any applicable law or agreement to which Transferee is a party.

8. INDEMNIFICATION

Transferor shall indemnify, defend and hold harmless Transferee from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations, warranties or covenants of Transferor contained in this Notice or arising from acts or omissions of Transferor occurring prior to the Effective Date. Transferee shall indemnify, defend and hold harmless Transferor for acts or omissions arising from Transferee's obligations assumed after the Effective Date.

No amendment, modification or waiver of any provision of this Notice shall be effective unless in writing and signed by both parties.
