LEGAL TRANSFER REQUEST

This Legal Transfer Request (the "Request") is made as of Effective Date: by and between Transferor: , with principal address , and Transferee: , with principal address .

RECITALS

WHEREAS, Transferor is the holder of certain rights, records, files, claims, or other legal materials described as: (the "Transferred Materials"); and

WHEREAS, Transferee desires to receive and assume possession and responsibility for the Transferred Materials, and Transferor desires to transfer such materials to Transferee subject to the terms and conditions set forth herein.

WHEREAS, the parties intend that this Request effectuate an orderly transfer of custody, records, and any associated obligations to the extent permitted by law.

NOW THEREFORE, in consideration of the mutual covenants, representations, and agreements set forth below, the parties agree as follows:

1. DEFINITIONS

For purposes of this Request, "Transferred Materials" means all documents, files, pleadings, correspondence, electronic records, investigative materials, and other items listed in the attached Schedule of Materials. References to the Transferred Materials shall include any duplicates or copies reasonably necessary for Transferee's use.

2. TRANSFER

Transferor hereby requests and agrees to transfer to Transferee, and Transferee agrees to receive, custody and control of the Transferred Materials effective as of the Effective Date specified above. The transfer shall include all documents and data reasonably necessary to continue any pending matters and to satisfy regulatory, contractual, or court obligations relating to the Transferred Materials.

3. EFFECTIVE DATE AND DELIVERY

The Effective Date of the transfer shall be the date set forth above. Transferor shall deliver the Transferred Materials to Transferee in the manner specified below within a commercially reasonable time, and in any event not later than .

4. REPRESENTATIONS AND WARRANTIES

Transferor represents and warrants to Transferee that, to Transferor's knowledge: (a) Transferor has the full right, power, and authority to transfer the Transferred Materials; (b) there are no outstanding orders, liens, encumbrances, or agreements that would materially impair the transfer of the Transferred Materials except as disclosed in writing to Transferee; and (c) all documents provided are true, accurate, and complete copies of the original materials in Transferor's possession.

5. ASSUMPTIONS; ACCEPTANCE

Upon delivery and Transferee's written acknowledgment of receipt, Transferee shall assume responsibility for the continued custody, safekeeping, and handling of the Transferred Materials and any obligations associated therewith. Transferee's signature below constitutes acceptance of the Transferred Materials, subject to the representations and exceptions expressly set forth in this Request.

7. CONFIDENTIALITY

The parties acknowledge that certain Transferred Materials may contain confidential or privileged information. Transferor and Transferee shall take commercially reasonable steps to protect privileged and confidential information and shall cooperate to preserve privilege where applicable. Disclosure of privileged material shall be governed by applicable law; to the extent privilege is inadvertently waived, the parties shall take all reasonable steps to restore and maintain privilege.

8. INDEMNIFICATION

Transferor shall indemnify, defend, and hold harmless Transferee from and against any losses, liabilities, claims, or expenses arising out of Transferor's breach of the representations and warranties in Section 4, except to the extent such losses arise from Transferee's acts or omissions following acceptance. Transferee shall indemnify Transferor for liabilities arising from Transferee's negligent or willful acts after acceptance.

9. NOTICES

All notices, requests, consents, and other communications required or permitted under this Request shall be in writing and delivered to the addresses set forth below or to such other address as either party designates in writing.

10. RECORDS RETENTION

Unless otherwise agreed in writing, Transferee shall retain the Transferred Materials for the period required by applicable law and shall ensure secure disposal thereafter. If any litigation hold or preservation obligation exists, the parties shall coordinate in writing to determine the party responsible for retention and production.

11. GOVERNING LAW

This Request shall be governed by and construed in accordance with the substantive laws of the jurisdiction designated by the parties. The parties hereby submit to the exclusive jurisdiction of the courts located in the designated jurisdiction for any dispute arising out of or relating to this Request.

12. ENTIRE AGREEMENT

This Request, including any schedules and exhibits expressly referenced herein, constitutes the entire agreement between the parties with respect to the transfer of the Transferred Materials and supersedes all prior negotiations, agreements, and understandings, whether written or oral, relating to such subject matter.

13. SEVERABILITY

If any provision of this Request is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties agree to negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that, to the greatest extent possible, effects the original intent of the parties.

14. AMENDMENT; WAIVER; COUNTERPARTS

This Request may be amended only by a written instrument signed by both parties. No waiver by either party of any breach shall be effective unless in writing and signed by the waiving party. This Request may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
