Legal Translation Certificate

LEGAL TRANSLATION CERTIFICATE

This Legal Translation Certificate (the "Certificate") is made and entered into as of by and between Client Name: with address , and Translator Name: with business address .

RECITALS

WHEREAS, the Client requires a complete and accurate translation of certain documents identified below (the "Source Documents") from the original language into the Target Language; and

WHEREAS, the Translator represents that the Translator has the requisite qualifications, skill and experience to perform legal translations and to attest to their accuracy; and

WHEREAS, the parties desire that the Translator provide a certification of translation accuracy to accompany the translated materials for submission to governmental, judicial or administrative authorities and for the Client's records.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

2. CERTIFICATION OF ACCURACY

2.1 The Translator hereby certifies, under penalty of perjury to the best of the Translator's knowledge and ability, that the attached translated document(s) are complete and accurate translations of the Source Documents identified in Section 1. The Translator further certifies that the translation is a true and faithful rendering of the meaning of the original text as of the date of translation.

2.2 The certification is given for the benefit of the Client, and may be relied upon by governmental or judicial authorities where a certified translation is required or permitted.

3. TRANSLATOR REPRESENTATIONS

3.1 Qualifications. The Translator represents and warrants that the Translator is proficient in both the Original Language and the Target Language, and that the Translator possesses sufficient training, competence and, where applicable, certification or licensure to prepare legal translations. Translator qualifications (licenses, certifications or credentials):

3.2 Independence and Authority. The Translator further represents that the Translator is not an interested party to the matters described in the Source Documents unless disclosed in writing to the Client, and that the Translator has the authority to provide this certification.

4. SCOPE, LIMITATIONS AND USE

4.1 Scope. This Certificate covers only the translation work expressly described in Section 1 and any attachments expressly incorporated herein. Any subsequent corrections, amendments, or supplemental translations shall require a separate certification or an amendment signed by the Translator.

4.2 Limitation of Liability. Except as expressly provided in a separate written agreement between the parties, the Translator's liability for claims arising from the translation or this Certificate shall be limited to direct damages and shall not include consequential, incidental or punitive damages.

All notices required or permitted under this Certificate shall be in writing and shall be deemed delivered when delivered in person, by nationally recognized overnight courier, or when delivered by electronic mail with confirmation of receipt, to the addresses set forth below or to such other addresses as either party may designate in writing.

7. GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.

8. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY

8.1 Entire Agreement. This Certificate, together with any attachments and any written agreement between the parties specifically referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and proposals, whether oral or written, relating to such subject matter.

8.2 Amendment; Waiver. No amendment or modification of this Certificate shall be effective unless in writing and signed by both parties. No waiver of any provision of this Certificate shall be deemed a waiver of any other provision or of the same provision on another occasion.

8.3 Severability. If any provision of this Certificate is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to give effect to the parties' intent as reflected herein.

9. COUNTERPARTS; EXECUTION

This Certificate may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic or scanned signatures shall be deemed original signatures for all purposes.

10. ADDITIONAL ACKNOWLEDGMENTS

The Translator acknowledges that this Certificate may be presented to courts, governmental agencies, and other third parties. The Translator further acknowledges that intentional misrepresentation in this Certificate may subject the Translator to liability under applicable law.
