LEGAL TRAVEL AGREEMENT

This Legal Travel Agreement (the Agreement) is entered into as of by and between Service Provider: , having its principal place of business at , and Client Name: , residing at .

RECITALS

WHEREAS, Service Provider is engaged in the business of arranging travel services, including transportation, lodging, tours, and related services; and

WHEREAS, Client desires Service Provider to arrange and procure certain travel services for the trip described below, and Service Provider is willing to provide such services in accordance with the terms and conditions set forth herein.

WHEREAS, the parties desire to set forth their respective rights and obligations regarding bookings, payments, cancellations, liability, and other material provisions governing the travel services.

NOW, THEREFORE

In consideration of the mutual promises and covenants contained in this Agreement, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below: "Services" means the travel arrangement services to be provided by Service Provider as described in Section 2; "Client Materials" means documents, identification, and other materials provided by Client for the procurement of travel services.

Service Provider shall provide travel planning, booking, and coordination services for the trip described as follows:

Client shall pay Service Provider the total fee for Services as follows. Fees are exclusive of taxes, government fees, and third-party supplier surcharges unless otherwise stated.

4. CHANGES, CANCELLATIONS AND REFUNDS

Client may request changes to confirmed reservations; such changes are subject to supplier rules and additional fees. If Client cancels the booked travel, Client shall be responsible for cancellation fees imposed by suppliers and a separate administrative cancellation fee to Service Provider as follows: Cancellation administrative fee: . 5. TRAVEL DOCUMENTS; PASSPORTS; VISAS

Client is solely responsible for obtaining and maintaining valid passports, visas, immigration clearance, and any necessary documentation and inoculations. Service Provider may provide advisory information but has no obligation to secure travel documents on Client's behalf.

6. INSURANCE

Client acknowledges that travel insurance, including coverage for trip cancellation, interruption, medical evacuation, and baggage loss, is strongly recommended. Client:

7. HEALTH, SAFETY AND VACCINATION

Client represents that Client and any traveling companions meet health requirements for travel and shall comply with health screening, testing, and vaccination requirements of destinations and carriers. Client shall indemnify Service Provider for costs and liabilities arising from Client's failure to comply with health requirements.

8. FORCE MAJEURE

Neither party shall be liable for failure to perform its obligations to the extent performance is prevented by events beyond its reasonable control, including acts of God, pandemics, government action, labor disputes, war, or severe weather (Force Majeure). In the event of Force Majeure, the affected party shall notify the other and use reasonable efforts to mitigate losses.

9. LIMITATION OF LIABILITY; INDEMNIFICATION

Service Provider acts solely as an agent for suppliers and shall not be liable for any injury, loss, claim, damage, or expense arising from supplier performance, Client conduct, or other causes beyond Service Provider's direct control. Except for willful misconduct or gross negligence, Service Provider's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement. Client shall indemnify and hold harmless Service Provider and its agents from and against all claims, damages, liabilities, and expenses arising from Client's breach of this Agreement or Client's acts or omissions.

10. CONFIDENTIALITY

Each party shall maintain as confidential all non-public information received from the other party in connection with the Services and shall not disclose such information except to its employees, agents, or subcontractors who require the information to perform the Services or as required by law.

11. NOTICES

Notices under this Agreement must be in writing and shall be delivered to the addresses set forth below by hand, certified mail, or nationally recognized courier service and shall be effective upon receipt.

12. AMENDMENT; WAIVER

This Agreement may be amended or modified only by a written instrument executed by both parties. No waiver of any breach shall be effective unless in writing and signed by the waiving party, and no waiver shall constitute a waiver of any subsequent breach.

13. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable under applicable law, such provision shall be modified to the extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

15. ENTIRE AGREEMENT

This Agreement, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be effective as originals.
