LEGAL TRIAL FEE AGREEMENT

This Legal Trial Fee Agreement (the "Agreement") is entered into as of Effective Date: , by and between Client Name: , with primary address: (hereinafter "Client"), and Attorney/Law Firm: , with primary address: (hereinafter "Attorney").

RECITALS

WHEREAS, Client has engaged Attorney to provide legal representation in the matter styled Case Name: , currently pending in Jurisdiction/Court: ; and

WHEREAS, the parties desire to set forth their agreement regarding the trial fee, retainer, allocation of fees and costs, and the respective obligations of the parties in advance of trial; and

WHEREAS, Attorney represents that Attorney possesses the experience and resources necessary to proceed to trial on behalf of Client, subject to the terms set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. TRIAL RETAINER AND TRIAL FEE

1.1 Trial Retainer. Client shall pay a non-refundable trial retainer in the amount of Retainer Amount: $ (the "Retainer") upon execution of this Agreement. The Retainer shall be credited against fees and costs as set forth in Section 1.3.

1.2 Trial Fee. Client agrees to pay a trial fee of $ (the "Trial Fee") to compensate Attorney for trial preparation and trial attendance. The Trial Fee is separate from hourly fees and costs and is earned as provided in this Agreement.

1.3 Application of Payments. Payments shall be applied in the following order: first to outstanding costs advanced by Attorney; second to accrued hourly fees; third to the Trial Fee. Attorney shall provide periodic accounting of application of funds. Any unused portion of a retainer applied to trial fees shall be returned within 30 days after final accounting, unless otherwise set off under an express lien.

2. HOURLY RATES, BILLING, AND COSTS

2.1 Hourly Rates. Attorney's hourly rates for legal services rendered in connection with this matter are Lead Attorney Hourly Rate: $ per hour and Associate Hourly Rate: $ per hour, subject to reasonable adjustment upon written notice to Client.

2.2 Costs and Expenses. Client shall reimburse Attorney for all reasonable out-of-pocket costs and expenses incurred in connection with trial preparation and trial (including, but not limited to, expert fees, deposition costs, court reporter fees, travel, lodging, and exhibit preparation). Such costs may be advanced by Attorney and charged to Client; Attorney may require an advance deposit for anticipated costs.

3. TRIAL PREPARATION, ATTENDANCE, AND WITHDRAWAL

3.1 Preparation. Attorney shall prepare the case for trial, including discovery oversight, motion practice as needed, witness preparation, and exhibit and demonstrative preparation. Attorney retains discretion to determine the scope and manner of trial preparation, subject to reasonable consultation with Client.

3.2 Attendance. Attorney will attend trial and provide representation as reasonably required. If trial extends beyond estimated duration, additional fees shall be billed at the rates set forth in Section 2.1.

3.3 Withdrawal. Attorney may withdraw from representation if Client fails to fulfill material obligations under this Agreement, including failure to pay fees or costs, provided Attorney complies with applicable rules of professional conduct and law and secures court permission if required. Client acknowledges that withdrawal may adversely affect case outcomes.

4. PAYMENT TERMS

4.1 Payment Schedule. The Trial Fee and Retainer shall be paid as follows: Initial Payment (Retainer): $ due upon signing; Balance of Trial Fee: $ due no later than Trial Fee Due Date: or as otherwise agreed in writing.

4.2 Late Payment. Any amount unpaid when due shall accrue interest at the rate of Interest Rate: , unless prohibited by law. Client shall also be responsible for reasonable collection costs and fees, including attorney's fees, incurred in collecting overdue sums.

5. ATTORNEY'S LIEN; SECURITY

5.1 Lien and Security. To secure payment of fees and costs, Client grants Attorney a charging lien and/or retaining lien on any judgment, settlement proceeds, or recovery obtained in the matter, to the extent permitted by applicable law. Client shall not release or disburse proceeds without Attorney's written consent until Attorney's lien is satisfied or otherwise resolved.

5.2 Offset. Attorney may offset deposits and Retainer amounts against outstanding fees and costs in Attorney's billing judgment, consistent with applicable professional obligations.

6. CLIENT COOPERATION

6.1 Cooperation. Client shall cooperate fully with Attorney, provide truthful and complete information, attend meetings, participate in witness preparation, appear for depositions and trial as required, and timely respond to Attorney's requests. Failure to cooperate constitutes grounds for termination under Section 3.3.

7. CONFIDENTIALITY AND PRIVILEGE

7.1 Confidentiality. Attorney shall maintain confidentiality to the extent required by law and the rules of professional conduct. Client acknowledges that certain communications must be disclosed as required by court order or law and that no agreement by Attorney can override a lawful disclosure obligation.

8. DISPUTE RESOLUTION

8.1 Resolution of Fee Disputes. Any dispute regarding Attorney's fees shall be resolved by binding arbitration if required by applicable professional rules or, alternatively, through a fee dispute resolution program provided by the relevant bar association. Notwithstanding the foregoing, Attorney may seek provisional relief in court to protect its lien or to collect undisputed sums.

9. TERMINATION; EFFECT OF TERMINATION

9.1 Termination by Client. Client may terminate Attorney's services in writing at any time. Client remains responsible for all fees and costs incurred through the date of termination and for reasonable costs of transferring the file and winding up representation.

9.2 Effect of Termination. Upon termination, Attorney will provide a final accounting and apply the Retainer as set forth in Section 1.3. Any balances due to Attorney shall be payable within 30 days of final billing.

10. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by personal delivery, overnight courier, or registered mail, return receipt requested. Notice shall be effective upon receipt.

11. AMENDMENTS, WAIVER, COUNTERPARTS

11.1 Amendments. This Agreement may be amended only by a writing signed by both parties.

11.2 Waiver. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which constitutes an original and all of which together constitute one instrument. Signatures delivered by electronic transmission shall be deemed original signatures.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to its conflict of laws principles. Venue for any litigation shall be in the state or federal courts located in Venue County: .

13. ENTIRE AGREEMENT; SEVERABILITY

13.1 Entire Agreement.
