What a Legal Trustee Minute Resolution Is

A Legal Trustee Minute Resolution is a formal written record of a trustee body's decision or authorization adopted during a trustee meeting or by written consent. It documents the action taken, identifies the trust or entity involved, records the date, cites the authority under the trust instrument or governing law, and lists the trustees who voted or consented. Trustee minute resolutions are used to authorize transactions, approve distributions, delegate powers, or ratify agreements and provide an auditable record for beneficiaries, banks, title companies, and courts.

Why Document Trustee Decisions with a Minute Resolution

Recording trustee decisions in a Legal Trustee Minute Resolution creates a clear, signed record that supports legal compliance, evidences authority for third parties, reduces disputes, and facilitates administrative steps like banking, real estate transfers, and beneficiary inquiries.

Why Document Trustee Decisions with a Minute Resolution

Who Prepares and Relies on Trustee Minute Resolutions

Trustees, trust administrators, corporate secretaries, and in-house counsel commonly draft and approve trustee minute resolutions for official recordkeeping and third-party reliance.

  • Corporate trustees and trust companies handling asset management and bank account authorizations.
  • Independent trustees and family trust fiduciaries documenting distributions, investments, and conflict-of-interest approvals.
  • Banks, title companies, and counterparties that require written trustee authorization for transactions.

Properly prepared minute resolutions help external parties accept trustee authority and reduce the need for supplemental affidavits.

Core Components Every Trustee Minute Resolution Should Include

A professional Legal Trustee Minute Resolution includes clear headings, authority citations, participant details, precise action language, signature blocks, and references to any attached exhibits or forms.

Heading

Begin with a descriptive heading and date. State whether the action is taken at a meeting or by written consent, and name the trust and governing instrument to contextualize the decision.

Authority

Quote the specific trust provision, statute, or delegated power enabling the trustees to act. Include section numbers or exhibit references and the instrument date to expedite third-party verification.

Resolution Text

Use clear, unambiguous action language such as 'RESOLVED that the trustees authorize...'; specify limits, amounts, counterparty names, related documents, and any conditions or automatic expiration.

Signatures

Provide printed names, titles, and signatures for all trustees. Include dates, notarization or witness details if required, and a certification line for the recordkeeper or corporate secretary to attest accuracy.

Exhibits

Attach or reference exhibits such as trust excerpts, bank account forms, closing instructions, or legal opinions. Number exhibits and list them in the resolution body for clarity.

Recordkeeping

State where the signed resolution will be stored, retention period, backup location, and whether a certified copy will be provided to banks, title companies, or beneficiaries.

Meeting Date:

Effective Date:

Indicate when the resolution takes effect, often the meeting date or specified later.

Third-Party Submission Deadline:

Provide certified copies to banks or title companies as requested without undue delay.

Recordkeeping Review:

Schedule annual or biennial reviews to confirm retention and destruction policies.

Audit Availability:

Common Preparation Pitfalls to Avoid

  • Using informal or abbreviated trust names that do not match the trust instrument leads banks and title companies to request certified copies or reject the resolution.
  • Failing to cite the precise trust clause or statute creates follow-up requests, slows transactions, and increases the chance of third-party refusal to honor the authorization.
  • Omitting signatures, dates, or witness/notary details undermines enforceability and can require re-execution, causing delays for time-sensitive closings or funding.
  • Attaching unnumbered or poorly described exhibits makes it difficult to verify referenced authority or terms, prompting requests for clarification during closing or bank onboarding.

Legal and Practical Risks of an Incorrect Resolution

Third-Party Rejection: Bank or title refusal
Unauthorized Acts: Actions beyond trust authority
Beneficiary Disputes: Increased litigation risk
Tax Consequences: Reporting or withholding errors
Notarization Failures: Invalid for lacking formalities
Recordkeeping Gaps: Loss of evidence
