What the Legal TSS Conflicts Form is and when it applies

The Legal TSS Conflicts Form is a standardized disclosure and intake document used to identify, describe, and resolve conflicts of interest, role overlaps, or contractual inconsistencies in transactional support services (TSS). It captures parties, factual background, conflicting provisions or interests, proposed mitigations, and signature blocks for authorized representatives. The form is typically used by in-house legal teams, external counsel, compliance officers, and contracting parties to document discovery of a conflict, enable structured review, and create an audit trail that supports internal decisions and external reporting where required.

Why a clear conflicts form matters

A dedicated conflicts form standardizes disclosure, speeds review, and creates a reproducible record for compliance, contractual risk assessment, and audit purposes across internal and external stakeholders.

Why a clear conflicts form matters

Who typically completes the Legal TSS Conflicts Form

The form is completed by the person who discovers the conflict and routed to decision-makers for review.

  • In-house legal teams — Document conflicts, recommend remediation, and preserve attorney-client intake notes where appropriate.
  • Contract managers — Log contract-level inconsistencies and coordinate remedial amendments with counterparties and procurement.
  • Compliance officers — Assess regulatory exposure and track mitigation steps for audit readiness.

Use role-based routing so each stakeholder receives only the sections they need to review, and record decisions in the form's disposition field.

Who can sign and authorize the form

Authorized Signatory

Core sections to include on a professional conflicts form

A complete Legal TSS Conflicts Form groups the intake, factual detail, legal assessment, mitigation plan, decision, and signature information so reviewers can act quickly and maintain a defensible record.

Disposition & Signatures

Step-by-step: completing the Legal TSS Conflicts Form

Follow these sequential steps to ensure the form is valid, routed correctly, and preserved with a clear audit trail.

  • 01
    1. Report Discovery: Document discovery date and facts immediately after identifying the potential conflict.
  • 02
    2. Attach Evidence: Upload contracts, emails, or disclosures that support the factual summary.
  • 03
    3. Assign Reviewer: Route to designated legal or compliance reviewer for risk assessment and remediation planning.
  • 04
    4. Record Decision: Capture final disposition, sign approvals, and set monitoring tasks for any ongoing mitigation.

Configuring the online workflow for efficient processing

Map each form element to a routing action so the system notifies the right reviewers and preserves an action log for audits.

Form Element Configuration
Reporter Field Required; triggers acknowledgment email to reporter
Attachments Allowed file types PDF/DOCX; max 25 MB per file
Reviewer Assignment Auto-route by department code or manual selection
Final Disposition Requires two approvers for high-risk designations

Where to send or file the completed form

Determine routing based on conflict category and organizational policy; retention and escalation paths depend on outcome and risk level.

  • Internal Legal: File with corporate legal intake for review and preservation.
  • Compliance Archive: Store copies in compliance records with index tags for audit retrieval.
  • Contract Management: If contract changes needed, send redline and memo to contract owner.
  • External Disclosure: If required, prepare formal notice to counterparty or regulator per policy.

Digital signing and platform considerations

Choose an eSignature platform that supports audit trails, conditional routing, and secure attachments when e-submitting the form.

  • Integrations: Salesforce | Microsoft 365 | NetSuite | Google Workspace
  • File Formats: PDF | DOCX | HTML | Excel
  • Security: TLS 1.2/1.3 in transit; AES-256 at rest

Retain audit logs with signer attribution and timestamps; choose MFA or SMS authentication for higher-risk signers.

  • Failing to attach supporting documents or redacted originals increases the cost and time of verification for investigators.
  • Using inconsistent naming for entities or parties causes mismatches with contract repositories and can block automated routing.
  • Skipping approval authority or delegation details in the signature block results in executability questions during audit or enforcement.
