What a Legal Unanimous Resolution Is and when it’s used

A Legal Unanimous Resolution is a written corporate action signed by all required decision‑makers—such as directors, shareholders, or LLC members—to authorize a specific corporate act without a formal meeting. It records unanimous consent to actions like approving mergers, electing officers, amending bylaws, or authorizing corporate filings. The resolution becomes part of corporate records once executed according to the entity’s governing documents and applicable state law. For interstate electronic execution, ESIGN (15 U.S.C. ch. 96) and state UETA provisions support electronic signatures when meeting legal validity criteria.

Why Unanimous Resolutions Matter for corporate governance

Unanimous resolutions let organizations take binding action quickly while documenting collective consent, reducing the need for convened meetings and providing a clear written record for auditors, regulators, and future corporate reference.

Why Unanimous Resolutions Matter for corporate governance

Who typically prepares and signs these resolutions

The following groups most often prepare, approve, or receive unanimous resolutions.

  • Corporate boards and directors who need formal board‑level approval without holding a meeting.
  • Shareholders or LLC members consenting to charter amendments, mergers, or major transactions.
  • In‑house or outside counsel and corporate secretaries responsible for maintaining minutes and filings.

Different entities follow distinct internal rules; confirm the entity’s articles, bylaws, operating agreement, or state law before finalizing execution.

Representative signers and their roles

Corporate Secretary

Maintains corporate records, prepares minutes, circulates the unanimous resolution for signature, and confirms the executed resolution is filed in the minute book and included with any required state filings.

LLC Member

Reviews the proposed resolution for alignment with the operating agreement, confirms consent or objects in writing, and signs to create a binding record of the member vote or waiver.

Core parts of a professional Legal Unanimous Resolution

A complete resolution follows a standard structure so it is enforceable and easy to record. Each component serves a specific legal or administrative purpose.

Title

A concise heading describing the action (for example, 'Unanimous Written Consent of the Board of Directors').

Recitals

Short background statements explaining why the action is proposed and the authority under the charter or operating agreement.

Resolution Language

Clear, specific language stating the action being taken and the exact authority being exercised.

Effective Date

The date the resolution takes effect, stated explicitly; can be execution date or another specified date.

Signature Blocks

Space for each required signer’s printed name, title, signature, and date; state whether countersigns or notarization are required.

Recordkeeping Note

A short statement directing the corporate secretary to file the executed resolution with the minutes and any required state filings.

Step‑by‑step: preparing and executing a unanimous resolution

Follow a consistent sequence to ensure validity, traceability, and ease of recordkeeping.

  • 01
Draft the Resolution: Prepare precise language that cites governing authority.
  • 02
Confirm Authority: Check bylaws or operating agreement for voting thresholds.
  • 03
Circulate to Signers: Send the document with clear signature instructions.
  • 04
File and Record: Attach executed copy to minutes and required filings.

Digital workflow settings to use when collecting unanimous consent

Configure the signing workflow to reflect unanimous requirements and to preserve evidence of each signer’s assent.

Field Configuration
Authentication Email link plus optional SMS code or two‑factor authentication
Signing Order Set to simultaneous or any order to allow parallel signing
Required Fields Mark signature, printed name, title, and date as required
Retention Format Store final PDF/A with audit trail for reproduction

Typical execution flow for electronic unanimous resolutions

A standard electronic workflow preserves audit trails and shows each signer’s assent with timestamps and IP metadata.

  • Draft: Create the resolution and attach exhibits.
  • Assign Fields: Place signature, name, title, and date fields.
  • Send to Signers: Distribute via secure signing links or email invitations.
  • Capture Evidence: Collect timestamps, IP, and authentication records.

Technical considerations for eSigning and storing resolutions

Ensure your platform supports required authentication, secure storage, and formats accepted by regulators and auditors.

  • Authentication: Email, SMS, or stronger MFA as required
  • File Formats: PDF, PDF/A, and DOCX supported for records
  • Integrations: Connectors to NetSuite, Salesforce, Google Workspace

Choose settings that preserve a complete audit trail and allow export of a tamper‑evident signed PDF for minute books and regulatory review.

Security and compliance features to protect executed resolutions

Encryption: TLS 1.2/1.3 in transit
At Rest: AES‑256 encryption
Audit Trail: Timestamps, IP, and action log
HIPAA: BAA available where required
21 CFR Part 11: Compliance options for FDA records
ESIGN/UETA: Meets federal and state eSign standards

Key timing considerations when issuing a unanimous resolution

Timeline items below reflect common administrative deadlines; verify any filing deadlines tied to the specific corporate action.

Effective Date of Action:

Action is effective as of the date stated in the resolution or the execution date

Distribution to Parties:

Provide executed copies to all signers promptly, typically within 5 business days

Record in Minutes:

Attach executed resolution to the corporate minutes without undue delay

State Filings:

File amendments or required notices per state timelines where applicable

Document Retention:

Maintain executed resolution according to retention policy and legal requirements

Common preparation mistakes to avoid

  • Using vague or open‑ended resolution language that creates ambiguity about the authorized action and its limits.
  • Failing to confirm the entity’s bylaws or operating agreement, resulting in improper execution or insufficient consent.
  • Mismatched signer names or inaccurate titles that create questions of capacity during audits or third‑party reviews.
  • Omitting clear effective dates, attachment references, or instructions to file the executed resolution with corporate records.

Risks and consequences of defective unanimous resolutions

Action Invalidated: Noncompliance with bylaws
Regulatory Exposure: Missed filings or notices
Contract Disputes: Third parties may challenge authority
Tax Consequences: Improper elections or reporting
Record Gaps: Audit and due diligence issues
Signature Disputes: Authentication problems without audit trail
