LEGAL UNCONDITIONAL WAIVER AND RELEASE

This Unconditional Waiver and Release (the "Waiver") is made effective as of by and between Releasor: (the "Releasor") and Releasee: (the "Releasee").

RECITALS

WHEREAS, Releasor has performed certain labor, furnished materials, or provided services in connection with the improvement of the property described below; and

WHEREAS, Releasee is obligated to make payment for such labor, materials, or services under contract or purchase order number and invoice number ; and

WHEREAS, in consideration of the payment described below, Releasor is willing to waive and release certain lien rights, claims, and demands as set forth herein.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

2. UNCONDITIONAL WAIVER AND RELEASE

Upon receipt by Releasor of the payment described above in good funds, Releasor does hereby waive, release and forever discharge Releasee, its agents, employees, contractors, subcontractors, suppliers, sureties and lenders, from any and all mechanics', materialmen's, contractor's or other liens, claims, demands, causes of action, suits and liabilities of every kind and nature, whether known or unknown, arising out of or in any way connected with the labor, materials or services furnished to the Project through the date of payment set forth above, to the extent of the payment actually received.

This waiver and release is unconditional with respect to the matters released herein and shall operate as a full release of lien rights and claims to the extent of the payment actually received by Releasor. If the funds paid are not received and finally collected, or are reversed, charged back, or dishonored for any reason, this Waiver shall be null and void ab initio.

3. SCOPE OF RELEASE

The release granted by Releasor extends to all claims for labor, materials, equipment, services and other items provided by Releasor through the date of payment, including laborers' wages, suppliers' invoices, equipment rental, change orders, extras, and any incidental costs, but does not extend to obligations that arise after the date of this Waiver.

4. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that it has full authority to execute this Waiver; that all labor and materials furnished by Releasor to the Project through the date of payment have been paid for or will be paid from the amount received; and that Releasor has not assigned any claims or liens except as disclosed in writing to Releasee.

No amendment, modification, or waiver of any provision of this Waiver shall be effective unless in a writing signed by the party against whom enforcement is sought. The failure of any party to enforce any provision shall not constitute a waiver of that provision or any other provision.

8. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Waiver shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Project is located. If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Waiver constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to such subject matter.

9. COUNTERPARTS AND AUTHORITY

This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Each individual signing this Waiver represents and warrants that he or she has the authority to execute this Waiver on behalf of the party for which he or she signs.

By signing below, Releasor certifies that it has received the payment described above in good and collected funds and that, to the best of its knowledge, there are no outstanding claims, liens or demands for labor or materials for which Releasor has not been compensated except as otherwise expressly set forth in writing.
