RECITALS

3. REPRESENTATIONS AND WARRANTIES

The Updating Party represents and warrants that: (a) it has full corporate or legal authority to make each Update and to execute this Declaration; (b) each Update is true, accurate and complete in all material respects as of its Effective Date; (c) the making of each Update does not contravene any material obligation, court order, statute, or regulation applicable to the Updating Party; and (d) it will provide, upon reasonable request, certified or notarized supporting documentation for any Update within a reasonable time.

4. EFFECT ON EXISTING AGREEMENTS

Unless otherwise agreed in writing by the parties, Updates declared herein shall be deemed incorporated into any Affected Agreements and shall modify the parties' records for purposes of notices, invoicing, and official correspondence. No Update shall be construed as an amendment to the substantive rights or obligations of the parties under any Affected Agreement except where expressly stated and executed in writing by both parties.

5. NOTICES

For all purposes under this Declaration, notices shall be sent to the addresses provided below. A party may change its notice address by providing written notice in accordance with this Section.

6. AMENDMENT; WAIVER

This Declaration may be amended only by a written instrument executed by both parties. No failure or delay by either party in exercising any right under this Declaration shall operate as a waiver of that right, nor shall a waiver on one occasion be deemed a waiver on any other occasion, except by an instrument in writing signed by the party granting the waiver.

7. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Declaration shall be governed by and construed in accordance with the laws of the jurisdiction specified in the parties' primary agreement, or if no such agreement exists, the laws of the state specified by mutual agreement of the parties. If any provision of this Declaration is held to be invalid or unenforceable, the remainder of this Declaration shall remain in full force and effect. This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral communications concerning the Updates.

8. COUNTERPARTS; DELIVERY

This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Delivery of an executed counterpart by electronic transmission of a scanned image or other reliable reproduction shall be effective as delivery of an original.

9. ACKNOWLEDGMENT
